This book tackles the topic by examining the nature of the legal systems developed by international organizations. It is the first comprehensive study of the concepts by which international organizations' legal systems are commonly understood: functionalism, constitutionalism, exceptionalism, and informalism. Its purpose is threefold: to trace the historical origins of the different concepts of an international organization, to describe four groups under which these different notions can be aligned, and to propose a theory which defines international organizations as 'dual entities'. The concept of an international organization is defined by looking at the nature of the legal systems they develop. The notion of 'dual legal nature' describes how organizations create particular legal systems that derive from international law. This situation affects the law they produce, which is international and internal at the same time. The effects of the dual legal nature are considered by analysing international responsibility, the law of treaties, and the validity of organizations' acts.

According to this approach, an international organization is entitled to (no more than) what is strictly necessary for the exercise of its functions in the fulfilment of its purpose. The book provides a three-step analysis that relates an organization's legal status, privileges and immunities to the functions and purposes of the organization. After a review of the work of the International Law Commission on Relations between States and International Organizations, between 1962 and 1992, the author first introduces an identification process of the study's subject matter and scope ratione personae, i.e. the legal status of intergovernmental organizations. The legal personality, legal capacities, and competence (powers) of international organizations are analyzed from the perspective of their functions and purposes. Step Two presents a review of the basic considerations in granting organizational immunities, and their legal sources. Step Three focuses on the `official activities' of international organizations, which is the core of the application of functional necessity in determining the extent of organizational immunities. The book also reviews existing methods of counterbalancing organizational immunities, and applies the three-step functional necessity analysis to a case study of the International Tin Council. Finally, a general conclusion underlines the character of organizational immunity law as a balanced and self-contained régime.

La personne morale apparaît comme le terme réunificateur de tout système representative. Dans l'ordre international, ce processus est perturbé par la présence, dans les organs intergouvernementaux, de représentants d'Etat qui sont autant d'organes des Etats membres, présence prolongée par le consentement aux actes adoptés en leur sein. Quel en est donc le sujet d'imputation : l'organisation ou ses membres ? Une théorie de l'acte doit être développée au coeur de la théorie de l'organe pour démontrer que l'organisation internationale est la personnification juridique d'une collectivité d'Etats dotée d'un système représentatif, et n'est que cela. La qualité de partie à un traité constitutif et de membre d'une organisation internationale ne prive l'Etat d'aucun des attributs de la souveraineté dans l'ordre international. Au contraire, la faculté d'investir un sujet de droit de compétences nouvelles est précisément un attribut de la souveraineté : l'organisation est tout entière une création des Etats membres. Leur souveraineté n'inhibe pas le processus de personnification de l'organisation qui, en retour, ne la confisque pas : la souveraineté et la relativité des rapports juridiques demeurent les principes régulateurs de l'ordre international.
