Available in PDF, EPUB and Kindle. Book excerpt: Prior relations between the acquiring firm and the target company pave the way for knowledge transfers subsequent to the acquisitions. One major reason is that through the market-based relations the two actors build up mutual trust and simultaneously they learn how to communicate. An empirical study of 54 Danish acquisitions taking place abroad from 1994 to 1998 demonstrated that when there was a high level of trust between the acquiring firm and the target firm before the take-over, then medium and strong tie-binding knowledge transfer mechanisms, such as project groups and job rotation, were used more intensively. Further, the degree of stickiness was significantly lower in the case of prior trust-based relations.

The target company is a small international company with offices in six countries that specializes in hydrology. The acquiring company is a large multinational with offices around the world. The acquirer has no experience in the hydrology business and this represents their first experience with the industry. A further factor in the study is looking at how the takeover is affected by differences in culture between the two businesses. The acquirer is very structured and the acquired highly informal. Data for this study has been gathered from a questionnaire and interviews. The findings of the research were generally negative as there was little evidence of knowledge transfer taking place during the first seven months of the acquisition and a general failure to recognize the cultural differences. Furthermore, the acquirer has initially allocated insufficient importance and resources to this acquisition.

The focus is on transfer of internationalization knowledge. After having acquired knowledge in foreign markets, the MNCs face a choice as to the mechanism used for transferring this knowledge to other units of the corporation. MNCs can use "rich communication media" that are able to transfer experiential knowledge as acquired originally. Alternatively, the MNCs may aim to codify the knowledge in written media in order to transfer it to other units. A wrong choice of transfer mechanism may result in unnecessarily high communication costs or impaired quality of the knowledge subject to transfer. On the basis of data on Danish MNCs the performance implications of the transfer mechanism choice is examined.

Book excerpt: In this paper, we study knowledge loss in knowledge transfer processes as a novel theoretical concept. In particular, we focus on 3,429 knowledge sharing ties among 330 employees in a data solution company and consider network features associated with incomplete transfers of knowledge from a source to a recipient. Results indicate that while strength of ties facilitates knowledge acquisition and reduces the amount of knowledge lost in interpersonal exchanges, network range (i.e. ability to connect with otherwise disconnected others) facilitates knowledge acquisition while increasing, at the same time, the amount of knowledge lost. Tie strength further moderates the relationship between network range and knowledge loss. By observing a “cost” to network range in terms of lost knowledge, we suggest that more attention should be paid not only to the advantages, but also to the liabilities of different network positions.

This is especially tme in multina tional organizations created though mergers and acquisitions. In such organiza tions, individual subunits are not only subjected to the isomorphic pulls of their respective local environments (Westney 1993) but are often characterized also by different organizational cultures, administrative heritage and work practices. As a long stream of research on mergers and acquisition testifies, achieving syner gies through knowledge sharing in such circumstances is associated with formid able obstac1es. The theoretical basis of much current literature on knowledge and knowledge transfer can be traced from Nelson and Winter's (1982) seminal work, over Win ter's (1987) conjecture regarding the trade-offs between tacitness and codifica tion of knowledge to a celebrated series of artic1es by Kogut and Zander (1992, 1993, 1996). It conceptualizes the multinational firm as a social community that specializes in the creation and transfer of knowledge. 'Higher order organiza tional routines' and the 'identifications' of their employees place firms in the privileged position to be able to intemally transfer knowledge, especially in its more 'tacit' varieties, more rapidly and cheaply than this can be accomplished through third-party licensing or through involuntary imitation. In this approach, the existence of firms is explained without invocation of 'opportunism' or other transaction cost considerations - a fact that has no doubt contributed to its wide spread appeal.

This model postulates that the innovation process should be flexible and cross organizational boundaries, which enables the transfer of knowledge and capabilities between organizations. However, until now, it remained unclear which types of firms apply open innovation, whether it realy raises their performance, and how this can be managed in the best way. This book addresses the important issue how innovative firms profit from external knowledge to improve their innovation performance. Using large scale empirical evidence from the Dutch industry, this book shows that especially Small and Medium sized Enterprises (SMEs) and firms from low-tech sectors have increasingly adopted open innovation strategies over the period 1994-2004, and are clearly catching up large and high-tech firms. The results indicate that firms pursuing an open innovation strategy perform better with regard to innovation than firms that innovate exclusively in-house. In contrast to the common opinion that large Mergers & Acquisitions (M&As) are bad for innovation, it turns out that M&As have a positive impact on long-term innovation performance. In times of economic cricis this can be an extra argument for governments to back large scale M&As. Large (medium) high-tech M&As in the life sciences industry were analysed in-depth, to investigate the dynamics of post M&A integration.
