Book Joint Ventures in East Asia Legal Issues

Download or read book Joint Ventures in East Asia Legal Issues written by International Bar Association. Section on Business Law. Conference and published by Springer. This book was released on 1992-06-29 with total page 224 pages. Available in PDF, EPUB and Kindle. Book excerpt: There are many indications that the twentieth century will be the `Asian century', with several countries there approaching rapid and sustained economic development, fuelled by neighbouring investor countries. This book provides the ultimate manual for investors interested in setting up a joint venture in the Far East, and presents the legal nuts and bolts of that process with respect to Japan, South Korea, Taiwan, China, Indonesia, the Philippines and Thailand. A final item argues persuasively for alternatives to traditional dispute resolution methods, and will greatly assist drafting of such contracts. Matters addressed systematically are: the selection of a J.V. vehicle, control of a J.V. company, tax incentives, acquisition of real property, government authorizations, legal procedures for termination, and legal status of dispute resolution methods. This book presents the work of the IBA's Committee on Business Organizations, convened in Hong Kong in 1991. The considerable experience brought to bear on this subject by leading international legal practitioners renders this work an invaluable tool for the investor in the 1990s and beyond.

Available in PDF, EPUB and Kindle. Book excerpt: Joint ventures have become a common vehicle for companies to create strategic alliances with partners that have complementary capabilities and resources, fostering opportunities to exploit distribution channels, technology, or finance in ways not available to the sole partners. Simply put, in a joint venture, two or more parent companies agree to pool defined capital, technology, human resources, risks, and rewards in the formation of a distinct entity under shared control. The complexities of such an arrangement are magnified when the project embraces more than one jurisdiction. In this special issue of the Comparative Law Yearbook of International Business, practitioners who have specialized in domestic and cross border joint venture formations report on their respective jurisdictions as well as particular cross border issues. The volume provides national reports on Brazil, Bulgaria, Chile, China, Cyprus, the Czech Republic, Greece, India, Italy, Japan, Kuwait, Lebanon, The Philippines, Romania, Trinidad and Tobago, Turkey, and Vietnam. European competition law relative to joint ventures, taxation issues in The Netherlands, and governing law also are treated.

Book Legal Aspects of Joint Ventures in Eastern Europe

Download or read book Legal Aspects of Joint Ventures in Eastern Europe written by Dennis Campbell and published by Springer Science & Business Media. This book was released on 2013-06-29 with total page 136 pages. Available in PDF, EPUB and Kindle. Book excerpt: DENNIS CAMPBELL AND MARK MILLER Introduction Within the last decade, there has been significant expansion in both the frequency and quantity of direct foreign investment by Western countries and multinational 1 corporations (MNC's) in the forni of joint ventures in Eastern Europe. These joint ventures, as well as other forms of mutual-cooperation trade arrangements, represent positive evidence of the increasing enthusiasm towards East-West trans actions now found on both sides of the European frontier. The spirit with which Western governments and business interests have sought to expand involvement in the East European market has been well documented. However, there has been relatively little attention paid to the extremely important internal changes which have come about within the foreign-trade policies of the Eastern European coun tries and which have served to accommodate the growth of trade with the West. This dramatic increase in direct foreign investment in the form of joint ventures results primarily from the passage of enabling legislation in a number of the East European states, legislation which has facilitated and attracted business invest ment from the West. Thus, it is opportune to examine and review the policy reforms and amendments which have been enacted in Eastern Europe and the Western responses thereto. As a preliminary matter, the term 'joint venture', as well as other mechanisms for foreign investment as used here, should be defined and distinguished.

Book Legal Aspects of Business Transactions and Investment in the Far East

Download or read book Legal Aspects of Business Transactions and Investment in the Far East written by Dennis Campbell and published by Springer. This book was released on 1989-06-06 with total page 320 pages. Available in PDF, EPUB and Kindle. Book excerpt: Despite the harmonizing effect of TRIPS and intellectual property law in general, technology transfer remains firmly rooted in domestic contract law and public policy. However, similarities in legal culture across many national borders keep this problem to a minimum--until we approach the technologically advanced countries of East Asia. For practitioners worldwide working with technology transfer in this culturally heterogeneous part of the world, Legal Rules of Technology Transfer in Asia is a godsend. For each of nine significant technology market jurisdictions--the PRC, Taiwan, Japan, Korea, Vietnam, Thailand, Malaysia, Singapore and Indonesia--this nuts-and-bolts approach to the applicable national rules provides all necessary legal information and guidance. Country chapters by local authorities are structured to cover the following essential factors: government policy on technological research and transfer; intellectual property system; licensing agreements; registration and notification; dispute resolution; tax considerations; transfer of patents; choice of law questions; franchising; publicity and merchandising; and anti-trust rules Two introductory chapters provide a much-needed perspective on technology transfer in the context of the world trade regime as it especially affects East Asia, with an emphasis on the trend to clarify and strengthen anti-trust rules. A concluding chapter surveys the market anthropology of the region and offers an expert assessment of the probable future development of technology transfer trade in the region.
