Book excerpt: This article analyzes the justification for the recent enactment in the European Union (EU) of a regulation establishing a framework for the screening of inward foreign direct investment (FDI). It argues that the new regulation, which constitutes a first step for a more comprehensive EU investment screening system, should not be considered to be exclusively aimed at protecting the internal market and defensive Union or Member State interests. Instead, the regulation has a tangible external economic policy justification and outlook because it can be seen as a starting point to build up, at the Union level, possibilities to limit inward FDI, which in turn can be used by the EU as a bargaining chip in its trade and investment negotiations with economically powerful countries, such as the United States or China, in order to achieve, on the basis of reciprocity, better access of EU investors to foreign markets. Paradoxically, establishing a framework for the screening of inward FDI at the Union level can therefore be seen as serving the EU's constitutionally enshrined goal to achieve further investment liberalization, rather than as shielding the internal market from undesired external influence.

This fact arising the interest to study the role of European Union as a direct investor in Russia, by using descriptive statistical analysis. This paper discusses the investment climate in Russia, types of economic motivations to invest, the amount of EU FDI flows and stocks in Russia, their sectoral distribution and main investing EU members states. As well it examines the impact of the crisis on those investment flows to Russia . The main findings of the study are the following. First, the shortcomings in government policy and business facilitation, that represent the investment climate in Russia, have discouraging effect on FDI, this could be the reason why Russia inward FDI performance is lower its potential. Second, EU has the dominant share in Russian total FDI inflows, and it's primary investment motivation is market-seeking investment, thus EU intention is predominantly to serve the local market. Third, the bulk of EU FDI into Russia comes from the large EU countries from economical point of view, and in times of crisis their investments fluctuated with larger amplitude, than in the rest of EU member states. However, even after the crisis the top seven FDI source countries remain the same as before. Fourth, sectoral distribution is with the dominance of service, followed by manufacturing and mining and quarrying. There latter one experienced decline of EU FDI already before the crisis came in force. The crisis influenced the most services by making them the most volatile, comparing to two other sectors. But still, the crisis influence was not that serious to change significantly sectoral distribution of EU FDI inflows to Russia.

Based on primary and secondary sources, the scope of the Union’s exclusive FDI competence of Art. 206/207 TFEU will be inquired as well as questions of legal implementation centred on the issue of financial responsibility within ISDS. By addressing the legal status of the Bilateral Investment Treaties (BIT) concluded by MS the legal basis is set to analyse the Austrian Nigerian Agreement for the Promotion and Protection of Investment which was authorized by the Commission (COM)and concluded by the Republic of Austria in 2013. In this context it will be interesting to assess the potential for the template of this agreement to become a kind of EU-third country model BIT to be concluded by the Union and to which extent the content of the agreement would be covered by the Unions FDI competence. With the entering into force of the TOL the European Union was massively changed in order to take on the challenges that lie ahead in the future. Among many of those institutional changes, the powers of the Union in the field of investments have been enlarged, with FDI now being part of the Common Commercial Policy (CCP). The motivation for such a an empowerment is manifold, reaching from FDI attraction and facilitation both important for European economic growth, the establishment of a level playing field for investors, to the beneficial effect of an increased negotiation leverage. Four years have passed since the new FDI competence has been established and on the face of it not much has been achieved. Only one piece of regulation addressing questions of legal implementation has been adopted. Exclusive EU Free Trade Agreements (FTA) containing comprehensive investment provisions are still to be concluded. Nevertheless a lot of preparatory work has been conducted by the COM and the European Parliament (EP). Of course the academic debate regarding the scope of the competence is vivid as well as the other obstacles regarding the legal implementation, mainly in the field of Investor to State Dispute Settlement (ISDS).
