Available in PDF, EPUB and Kindle. Book excerpt: The rise of the independent director in Asia is an issue of global consequence that has been largely overlooked until recently. Less than two decades ago, independent directors were oddities in Asia's boardrooms. Today, they are ubiquitous. Independent Directors in Asia undertakes the first detailed analysis of this phenomenon. It provides in-depth historical, contextual and comparative perspectives on the law and practice of independent directors in seven core Asian jurisdictions (China, Hong Kong, India, Japan, Singapore, South Korea, Taiwan) and Australia. These case studies reveal the varieties of independent directors in Asia, none of which conform to its original American concept. The authors develop a taxonomy of these varieties, which provides a powerful analytical tool for more accurately understanding and effectively researching independent directors in Asia. This new approach challenges foundational aspects of comparative corporate governance practice and suggests a new path for comparative corporate governance scholarship and reform.

Book The Rise of the Independent Director

Download or read book The Rise of the Independent Director written by Harald Baum and published by . This book was released on 2017 with total page 36 pages. Available in PDF, EPUB and Kindle. Book excerpt: The paper provides a historical analysis of the rise of the independent director in the US and the UK. These two jurisdictions are commonly credited with creating the concept of the independent director and exporting it around the world. In the first half of the twentieth century, a managerialist model of corporate governance dominated in the US. Inside directors, chosen and controlled by the CEO, dominated corporate boards. The concept of the independent director and the related model of the 'monitoring board' appeared only in the 1970s. Two watershed events sparked this dramatic change: First, the sudden collapse of the major railway company Penn Central in 1970; and second, Eisenberg's influential book 'The Structure of the Corporation', published in 1976. According to Eisenberg, the board's essential function was to monitor the company's management by being independent from it. Today the reliance on independent directors as a panacea for various corporate governance ills has reached its zenith in the US.As in the US, the typical British board of the 1950s was an advisory board dominated by insiders. It was only in the 1990s, with the beginning of the British corporate governance movement subsequent to the publication of the Cadbury Report, that the concept of independent directors was embraced in the UK. Since the early 2000s independent directors have dominated on the boards of listed companies. From the UK, the concept of the independent director started to conquer the European Union as a fundamental corporate governance principle. The European Model Company Act of 2015 and, on the supra-national level, the OECD Principles of Corporate Governance of 2015 recommend assigning important tasks to independent board members. The empirical support for staffing boards with independent directors, however, remains surprisingly shaky given the ubiquitous reliance on independent directors. The global financial crisis of 2008 has added further doubts.

Book Case Studies on Corporate Governance Issues In India

Download or read book Case Studies on Corporate Governance Issues In India written by Anirban Das and published by Independently Published. This book was released on 2024-08-16 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: Corporate governance has emerged as a critical aspect of business management, especially in the dynamic and complex landscape of the 21st century. In India, the role of corporate governance has gained immense significance, driven by a series of high-profile corporate scandals, regulatory changes, and an evolving understanding of the responsibilities that companies have towards their stakeholders. Among the various elements that constitute corporate governance, the role of Independent Directors stands out as particularly crucial. This book, "Case Studies on Corporate Governance Issues in India: An Independent Director's Perspective," delves into the multifaceted and challenging role that Independent Directors play in ensuring that companies adhere to ethical practices, maintain financial transparency, and operate in the best interests of their shareholders and stakeholders. The concept of Independent Directors in corporate boards was introduced to bring in an impartial, objective, and external perspective that can serve as a counterbalance to the management's decision-making. However, the effectiveness of Independent Directors has been a topic of debate, especially in light of recent corporate governance failures in India. This book aims to explore these issues through real-world case studies, providing a comprehensive understanding of how Independent Directors can influence corporate governance practices and the challenges they face in fulfilling their duties. The case studies presented in this book cover a wide range of industries and companies, from aviation to banking, from infrastructure to technology. Each case highlights the pivotal moments where the role of Independent Directors was tested, whether in preventing fraud, navigating financial crises, or ensuring compliance with regulatory standards. The insights drawn from these cases are not only valuable for current and aspiring Independent Directors but also for corporate executives, regulators, students, and anyone interested in the nuances of corporate governance. By examining these case studies, the book sheds light on the successes and failures of Independent Directors, offering lessons that are both timely and timeless. The reader will find a rich tapestry of experiences that illustrate the complexities of boardroom dynamics, the ethical dilemmas faced by Independent Directors, and the impact of their decisions on the overall health of the companies they serve. In writing this book, our goal is to contribute to the ongoing discourse on corporate governance in India and to emphasize the vital role that Independent Directors play in shaping the future of corporate India. We hope that this book will serve as a valuable resource for enhancing the understanding and practice of good corporate governance, ultimately contributing to a more transparent, accountable, and sustainable business environment in India. We invite you to engage with these case studies, reflect on the lessons they offer, and consider the broader implications for corporate governance in India and beyond.

Book Independent Directors on Public Sector Boards

Download or read book Independent Directors on Public Sector Boards written by Vibhooti Malhotra and published by . This book was released on 2011 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: The concept of independent directors has been successfully imported into corporate governance norms of India. This paper focuses the discussion on independent directors appointed in public sector enterprises. It highlights the urgent need for overhaul due to increasing financial market participation by PSU and considers the incumbent government's disinvestment policy. It brings forth the present appointment procedures and the role they are expected to perform. There has been an earnest attempt to highlight the insufficiencies by producing criticism the current system has received. We also draw parallels between the US and UK ideas of independent directors and how a deeper understanding of them can successfully help tackle the agency problem that exists in public sector boards.

Book The Independent Director in Society

Download or read book The Independent Director in Society written by Gerry Brown and published by Palgrave Macmillan. This book was released on 2021-08-29 with total page 271 pages. Available in PDF, EPUB and Kindle. Book excerpt: Things will always go wrong in organisations. The question is how quickly will they get caught and put right? The problem facing every organisation today – our businesses, universities, health services, or the many other sporting and charitable institutions that shape our society – is that the relationship between their executive management and those whose job it is to oversee them (whether they are called non-executive or independent directors, trustees, or governors) has become unbalanced. The Independent Director in Society shows how to rebalance it. Based on original, in-depth research from Henley Business School, this is the first book to survey and analyse the governance crisis right across society rather than just focus upon the business sector. The authors show that – despite their many differences – all organisations have many issues, behaviours and problems in common. The same problems require, in many cases, the same solutions. Sometimes they don’t. The authors offer two answers. The first lies in the realm of policy. Not a need for more legislation, but a move to give the existing codes of practice back their teeth and make them fit for purpose. The second lies with independent directors themselves. Urgent improvement is needed in standards of thought and action as well as the calibre of these directors. Above all, directors need to develop an independent mindset that will enable them to make better, more accurate decisions. There are many elements to creating this culture, including selection, training and education for directors, and support from chairs and executive teams, but most of all directors themselves must recognise their responsibilities in a complex and volatile world.

Book Global Perspectives on Corporate Governance and CSR

Download or read book Global Perspectives on Corporate Governance and CSR written by Professor David Crowther and published by Gower Publishing, Ltd.. This book was released on 2012-08-28 with total page 372 pages. Available in PDF, EPUB and Kindle. Book excerpt: Good governance is good PR, it is important in every sphere of society, whether it be the corporate environment, the political, or wider society. When resources are too limited to meet the minimum expectations of the people, it is a good governance level that can help to promote the welfare of society. Enlightened companies recognise that there is a clear link between governance and corporate social responsibility and make efforts to link the two. Unfortunately this is too often no more than making a claim that good governance is a part of their CSR policy as well as a part of their relationship with shareholders. Corporate Governance and CSR are significant issues in all parts of the world, huge amounts of time and energy are devoted to its global interpretation. Most analysis however is too simplistic to be helpful as it normally resolves itself into simple dualities: rules based v principles based or Anglo-Saxon v Continental. The editors of this book argue that this is not helpful - that the reality is far more complex. They show that Corporate Governance and CSR cannot be understood without taking geographical, cultural and historical factors into account. It is necessary, they say to understand the concerns of people in different parts of the world. Therefore, by using a wealth of case studies, theoretical models, and drawing on the knowledge and perspective of experts from around the world, the editors have produced this valuable book. Global Perspectives on Corporate Governance and CSR discusses issues such as regional and cultural similarities and differences, the contexts of differing legal frameworks and governance codes, differences between large companies and SMEs, governance in new environments (companies and economies) versus stable environments, and the changing environment affecting corporate social responsibility around the world. The editors then synthesise this in a way that will be helpful to business people as well as to academics.
