This book was released on 2014 with total page 37 pages. Available in PDF, EPUB and Kindle. Book excerpt: This paper addresses both theoretical and practical considerations impacting the conduct of intellectual property (IP) and information technology (IT) due diligence in the context of merger/acquisition transactions. Both the author's own experiences in practice, and major authorities are used to develop not only quot;nuts and boltsquot; guidance to practitioners and executives dealing with pending or proposed matters, but also a normative analysis intended to assist judges and commentators with the shaping of standards used in adjudication and possibly, legislation. The discussion of authorities emphasizes recent developments such as the U.S. Supreme Court's decisions in Grokster and KSR and the pending Viacom v. YouTube suit under the DMCA, and touches upon the Bilski case which was decided by the U.S. Federal Circuit as the paper went to press. The discussion also focuses upon evaluation of recently-introduced business practices such as interactive websites inviting public comments, business method patents and commercial use of digital entertainment technology.

Book Intellectual Property Management in M A Transactions

Download or read book Intellectual Property Management in M A Transactions written by Noah Farhadi and published by . This book was released on 2020 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: External growth through mergers and acquisitions involves a high degree of risk even under most favourable business conditions. It demands solid planning and implementation efforts. Companies involved in M&A transactions must deal with a wide range of aspects prior to signing. One of the most critical involves the valuation and transfer of tangible and intangible assets. This is particularly the case when the acquiring company is seeking postmerger inorganic growth. A number of stakeholder issues emerge in this context: Investors have to consider IP issues in their growth strategies and conduct appropriate due diligence reviews. In this paper, we explore the intellectual property perspective in mergers and acquisitions. We begin by defining intellectual property and introduce a holistic IP management approach that treats intellectual property as an integral component in the M&A process. The paper also explores the practical implementation of an effective IP management approach. It concludes with a discussion of the key aspects and issues related to IP management approach in an M&A transaction. In our contribution, we introduce the IP rights applicable in Germany. This will be of interest particularly for those companies that are interested in investing in Germany based companies and the DAX 30 group of companies sometimes referred to as Deutschland AG. This paper builds on previous work published in Mergers & Acquisitions Review (Farhadi et al, 2009).

Available in PDF, EPUB and Kindle. Book excerpt: Due Diligence and the Business Transaction: Getting a Deal Done is a practical guide to due diligence for anyone buying or selling a privately held business or entering into a major agreement with another company. When you’re buying a business, it’s wise to conduct due diligence. That's the process of investigating and verifying the firm’s finances, labor record, exposure to environmental issues, store of intellectual property, hard assets, ownership structure, and much more. If you don’t, you may later stumble into serious, costly problems, or you may pay an inflated price for the business. This book not only shows you how to conduct such an examination and what to look for, but it will also help you uncover hidden issues that some sellers might not want you to know about. Conversely, this book shows smart business sellers how to conduct due diligence on their own firms to arrive at the right sales price, uncover issues that might scare off buyers or investors, solve lingering problems before a sale, and more. Done right, due diligence can help sellers ensure they sell the business for the best price and with the least risk. Due Diligence and the Business Transaction will help you understand when to conduct due diligence, whom to include, and how to spot the red flags that signal danger. In addition, you will learn: How to conduct due diligence when contemplating a joint venture, business loan, franchise opportunity, or manufacturing deal How to calibrate the correct scope and breadth of the due diligence investigation depending on your situation How the results of due diligence may and often will change the elements of the final deal How to draft due diligence documents so they protect your interests What successful deals look like Corporate attorney and due diligence expert Jeffrey W. Berkman interweaves critical action points, guidelines and procedural steps, case studies, and due diligence questionnaires, checklists, and documents.
