Book Integration of corporate cultures in mergers

Download or read book Integration of corporate cultures in mergers written by Michael Kofler and published by GRIN Verlag. This book was released on 2010-06-07 with total page 14 pages. Available in PDF, EPUB and Kindle. Book excerpt: Studienarbeit aus dem Jahr 2009 im Fachbereich BWL - Unternehmensführung, Management, Organisation, Griffith University, Sprache: Deutsch, Abstract: 1. Introduction The case study Grape Expectations: A Case Study of the Southcorp-Rosemount merger, (Rice & Galvin, 2005) provides a basis to identify an issue of mergers, which will be analysed in this research report. The case study deals with the Australian wine industry and particularly examines the acquisition of Rosemount Southcorp. Therefore, it illustrates the goals of the merger and the problems resulting from the merger of the two companies. The research report will deal with the potential problem that results from the concurrence of different corporate cultures in mergers, as “in preparing for mergers, acquisitions, joint ventures, and alliances, the emphasis is often on financial, legal, and technical matters [but] the cultural factor is often neglected” (Trompenaars & Prud’Homme, 2004). Furthermore, the report will explain the different strategies used to deal with the different cultures and will concentrate on the integration strategy and argue that it is the most appropriate strategy in most mergers. 2. Problem identification 2.1. Issue: Corporate culture in mergers Researchers, investors, and the market are showing an increasing interest in corporate culture issues when it comes to mergers and acquisitions (Schraeder & Self, 2003). However, “while most firms recognize the critical importance of human and cultural issues in a merger, these issues are especially hard to analyze and quantify” (Camara & Renjen, 2004). Furthermore, the prevailing consensus in business literature is that problems regarding corporate culture are the most likely ones leading to unsuccessful mergers.

Book How Does Culture Integration Fail in Mergers and Acquisitions in California

Download or read book How Does Culture Integration Fail in Mergers and Acquisitions in California written by Sarah Hadjhamou and published by . This book was released on 2019-12-11 with total page 46 pages. Available in PDF, EPUB and Kindle. Book excerpt: This study implements a qualitative research method to determine how cultural integration fails in mergers and acquisitions. Often a company will merge with another because a good opportunity arises or because the second corporation lacks a strategic vision or financial resources to achieve its financial goal. There are many advantages and disadvantages to consider before companies embark on the journey. The decision making of an acquisition encompasses many advantages such as enhancing profitability and lowering operating costs in order to share a common vision and achieve other goals above financial growth. On the other hand, there are many factors to asses after two companies have merged, such as weighing out the strengths and weaknesses of each company, and determining a common vision for both. Most of the time, employees are very worried when aware of the merging process since they know that there will be some disruption within the organization. A poor cultural integration plan will certainly not lead to the achievement of mergers and acquisitions synergy. A mismanaged cultural integration plan will cause mergers and acquisitions to dissolve. Two companies are two different entities with two different cultures including corporate cultures, values, and policies. If mergers and acquirers disagree about the details of elaborating a cultural integration plan and do not convey properly the mergers purpose to the employees. It will be impossible for the organization to create a workforce with a common vision to deliberately reach the merger main goal. Therefore, the merger life expectancy will be shorten.Corporations should create a proven framework which will include new policies and rules that will be fair to both companies corporate cultures.

Book The Role of Company Culture in Mergers and Acquisitions

Download or read book The Role of Company Culture in Mergers and Acquisitions written by Viktoria Undesser and published by GRIN Verlag. This book was released on 2016-04-28 with total page 45 pages. Available in PDF, EPUB and Kindle. Book excerpt: Bachelor Thesis from the year 2016 in the subject Business economics - Business Management, Corporate Governance, grade: 1,0, University of Linz (International Management), course: Current Issues in International Management, language: English, abstract: This thesis will provide a clear understanding of how and why company culture is such an important factor in M&A. First of all, mergers, acquisitions and company culture will be defined. Then, different types of company cultures are analysed regarding their mutual compatibility. This is followed by an explanation of how cultural integration can take place and how managers can facilitate it. Finally, important findings are summarized and discussed. As globalization progresses, so does the internationalization of companies. In the course of this development, over the last 30 years, the forming of mergers and acquisitions has become very popular. One of the greatest challenges in a merger or an acquisition is aligning the company culture of the merging partners before, during and after the merger. Company culture – or the lack of an integrated company culture - can crucially influence the success or failure of a merger or acquisition. However, in spite of the fact that there are a lot of ways to facilitate cultural integration, it is something that is often neglected in the planning phase, which makes it all the more difficult to accomplish successfully further along in the process.

Book Beyond Performance 2 0

Download or read book Beyond Performance 2 0 written by Scott Keller and published by John Wiley & Sons. This book was released on 2019-07-03 with total page 276 pages. Available in PDF, EPUB and Kindle. Book excerpt: Double your odds of leading successful, sustainable change Leaders aren’t short on access to change management advice, but the jury has long been out as to which approach is the best one to follow. With the publication of Beyond Performance 2.0, the verdict is well and truly in. By applying the approach detailed by authors, Scott Keller and Bill Schaninger, the evidence shows that leaders can more than double their odds of success—from thirty percent to almost eighty. Whereas the first edition of Beyond Performance introduced the authors’ “Five Frames of Performance and Health” approach to change management, the fully revised and updated Beyond Performance 2.0 has been transformed into a truly practical “how to” guide for leaders. Every aspect of how to lead change at scale is covered in a step-by-step manner, always accompanied by practical tools and real-life examples. Keller and Schaninger’s work is distinguished in many ways, one of which is the rigor behind the recommendations. The underpinning research is the most comprehensive of its kind—based on over 5 million data points drawn from 2,000 companies globally over a 15-year period. This data is overlaid with the authors’ combined more than 40 years of experience in helping companies successfully achieve large-scale change. As senior partners in McKinsey & Company, consistently named the world’s most prestigious management consulting firm, Keller and Schaninger also draw on the shared experience of their colleagues from offices in over 60 countries with unrivaled access to CEOs and senior teams. Beyond Performance 2.0 also dares to go against the grain—eschewing the notion of copying best practices and instead guiding leaders to make choices specific to their unique context and organization. It does this with meticulously balance of focus on short- and long-term considerations, and on fully addressing the hard technical and oft cultural elements of making change happen. Further, the approach doesn’t just focus on delivering change; it builds an organization’s muscle to continuously change, making it healthier so that it can act with increased speed and agility to stay perpetually ahead of its competition. Leaders looking for a proven approach to leading large-scale change from a trusted source have found what they are looking for in Beyond Performance 2.0.

Book Cultural Dimensions of Mergers Acquisitions

Download or read book Cultural Dimensions of Mergers Acquisitions written by Markus Karmann and published by GRIN Verlag. This book was released on 2012-05-11 with total page 25 pages. Available in PDF, EPUB and Kindle. Book excerpt: Seminar paper from the year 2011 in the subject Business economics - Business Management, Corporate Governance, grade: 1,0, Northeastern University of Boston, course: Cultural aspects in International Business, language: English, abstract: Over the past several decades, the global economy has become increasingly intertwined as emerging markets continue to grow. Trade barriers have been broken by free trade agreements and the creation of the World Trade Organization while advancements in technology have allowed for the instantaneous transmission of information across the world. In order to expand operations, companies are increasingly looking towards mergers and acquisitions to grow operations internationally. Over the past 10 years, there have been over 251,000 global merger and acquisition transactions valued at $23 trillion US dollars (Exhibit A). While the recent downturn in the global economy has seen transactions decline from a peak of over $4 trillion dollars in 2007 to $2.19 trillion in 2010, M&A activity is expected to rebound given high cash levels and strong fundamental support for M&A , stronger growth levels in emerging markets and a desire for international acquisitions in order to “mitigate the risks of expanding in the global market.” While there is a strong demand to expand in the global market and technological advancements have allowed for ease of evaluating a potential M&A opportunity, there remains a wide cultural gap that one must understand and bridge in order to be successful. In this paper, we describe the phases of the merger process and show important factors that must be examined. We will not only focus on the cultural dimensions of Hofstede and other tools learned in class but also analyse the importance of premerger cultural due diligence and the post-merger integration process. Our extensive research on the post and pre-merger process is complemented by our examination of ASG, a company that has conducted numerous acquisitions over the past 20 years. The company is a software company founded in 1986. Our examination of ASG shows the ability of successfully evaluating the culture of the organization in the pre-merger process and furthermore, ASG’s ability to successfully integrate the acquisition.

Book Socio Cultural Integration in Mergers and Acquisitions

Download or read book Socio Cultural Integration in Mergers and Acquisitions written by Johanna Raitis and published by Springer. This book was released on 2018-04-10 with total page 147 pages. Available in PDF, EPUB and Kindle. Book excerpt: Taking a fresh and much-needed perspective on the management of international acquisitions, this book focuses on socio-cultural integration, and in particular the importance of emotions and values. The authors build on the human-centric and typically Nordic approach to mergers and acquisitions by presenting rich empirical cases of cross-border acquisitions conducted by leading Nordic multinationals. This book goes beyond merely stating that successful human integration leads to sociocultural convergence and presents how this can actually be accomplished. The authors offer theoretical approaches and practical solutions which have the potential of improving employee motivation and well-being, and in doing so, ultimately enhancing the chances of successful acquisition outcomes. Providing concrete examples of successful practices for managing socio-cultural integration and facilitating employee commitment, this book will appeal to both scholarly and practitioner audiences.

Book Managing Cultural Integration in Cross Border Merger and Acquisition Activities

Download or read book Managing Cultural Integration in Cross Border Merger and Acquisition Activities written by Franziska Schweigert and published by GRIN Verlag. This book was released on 2021-08-06 with total page 86 pages. Available in PDF, EPUB and Kindle. Book excerpt: Bachelor Thesis from the year 2018 in the subject Business economics - Business Management, Corporate Governance, grade: 1,3, Berlin School of Economics and Law, language: English, abstract: What are the critical success factors in CBM&A activities? What are the obstacles to and facilitators of a successful cultural integration in CBM&A activities? Which actions need to be taken to successfully manage cultural integration processes during CBM&A activities? This thesis will aim to answer these three research questions. Consequently, the research conducted aims to create an elaborate understanding for one of the most cited reasons of CBM&A failure, cultural integration, and to answer the research questions by developing a concrete action plan. This shall be approached by firstly outlining a brief overview of M&A theory before addressing special aspects of CBM&As in chapter 2. The second chapter will be concluded by explaining the complexity of culture and establishing a selection of empirically proven approaches on assessing culture. Subsequently, chapter 3 will focus on the decision factors which determine integration approaches before cultural integration models will be more narrowly outlined. Chapter 3 will then highlight the critical factors influencing cultural integration in more detail and start elaborating on how the evolving problems related to cultural integration can be encountered. In chapter 4, the research approach and methods will be explained in detail before the fifth chapter will highlight the key findings of the empirical analysis. Chapter 5 will then discuss the research findings and develop an action plan to show managerial implications on how to successfully manage cultural integration. Lastly, chapter 6 will summarize the findings of this thesis and illustrate the limitations of the research, before outlining starting points for future research.

Book Managing Mergers Acquisitions and Strategic Alliances

Download or read book Managing Mergers Acquisitions and Strategic Alliances written by Sue Cartwright and published by Routledge. This book was released on 1996 with total page 258 pages. Available in PDF, EPUB and Kindle. Book excerpt: Mergers, acquisitions, and alliances continue to be almost an everyday feature of the contemporary business scene, yet at least half prove to be unsuccessful. The authors show the contribution that psychology can make to our understanding of the merger phenomena - how it affects organizational performance, and how it affects the managers and employees involved. Mergers, Acquisitions and Strategic Alliances is intended as a guide to successful organizational marriage. Great emphasis is placed on the issue of cultural compatibility as it concerns partner selection, integration practices and venture outcomes. The book also focuses on cross-national mergers, acquisitions and joint ventures. With the increasing economic activity within the European Union and between the unions of other countries, there is a need to know more about the corporate and national cultures in these strategic alliances. The authors have drawn upon an extensive body of research based on recent cases in a wide cross section of industries across Europe. The book is unique in showing the actual effect mergers and acquisitions have on people, and consequently on the performance of the 'new' organization. It will be particularly relevant for decision makers - those who are involved in planning and implementing a large organizational change, and those responsible for ensuring successful integration afterwards. It would also be extremely useful for postgraduate management students, personnel executives and management consultants.

Book The role of different corporate culters in case of a merger

Download or read book The role of different corporate culters in case of a merger written by Thomas Weihmann and published by GRIN Verlag. This book was released on 2007-04-19 with total page 31 pages. Available in PDF, EPUB and Kindle. Book excerpt: Research Paper (undergraduate) from the year 2007 in the subject Business economics - Business Management, Corporate Governance, grade: 1,3, University of Cooperative Education Bad Mergentheim, language: English, abstract: Never before in history has the convergence of companies been that intense like in the year 2006. Gaining market share immediately, cutting costs through consolidation, expanding product lines or obtaining reputation are just a few ideas behind an acquisition or merger. Mergers and acquisitions rose in US Dollars to a new high from the peak in the year 2000 with 31.022 mergers and acquisitions and a capital flow of 3.332 billion US Dollars to 29.008 M&As and 3.568 US Dollars dated by 28th November 2006. An interesting aspect is that four out of the five largest transactions in 2006 did take place in Europe and not in America. Germany has the fourth largest merger and acquisitions market in the world with 1.488 transactions and a volume of 145,1 billion US Dollars in 2005. According to an analyst from Goldman Sachs, one of the biggest players in the M&A business, the M&A market is going to stabilize on the high level of 2006 also in the continuing years. Mergers and acquisitions are not a new topic in the age of globalization but with rising competition, price wars and merging markets it seems for many companies the only backdoor. However every second transaction is value-destroying and the aimed synergies remain a vision and never get realized. Bigger, stronger and more profitable are the key arguments for mergers and creating competitive advantage due to economies of scale. The core challenge often heard by management is to 85 % the integration process. Especially cultural differences are not taken into account properly. The centre stage of this study is to analyse how corporate culture and mergers melt together or collide and the reasons why so many companies fail. It covers the steps of a merger process and how the corporate culture can be aligned. The study can not examine explicitly the integration process like the due diligence method but it is a brief overview on what to be aware of when thinking about summing up synergies in mergers and acquisitions with different corporate cultures. It reveals that in the M&A business you can not set up the equation that one plus one is equal to two.

Book Cultural Complexities in Cross Border Mergers Acquisitions

Download or read book Cultural Complexities in Cross Border Mergers Acquisitions written by Oyvin Kyvik and published by GRIN Verlag. This book was released on 2011-03-24 with total page 37 pages. Available in PDF, EPUB and Kindle. Book excerpt: Research Paper (postgraduate) from the year 2011 in the subject Business economics - Business Management, Corporate Governance, grade: none, University of Pompeu Fabra (ESCI (School of International Trade) ), language: English, abstract: Based on a review of pertinent literature, the paper discusses the role and the complexities of cross-border mergers and acquisition in firms ́ internationalization. The various stages that firms customarily go through as part of an international merger and acquisition process are outlined and debated from both a theoretical and practical perspective. Particular challenges related to the management of the post- merger integration process and complexities related to differences in national and organizational cultures, organizational design and knowledge-structures between the acquirer and the target company are discussed. It is argued that appropriate management of the merging firms ́ human resources as the merging firms ́ smallest common denominator, is the key to optimize the outcome of cross-border transactions and to achieve budgeted post-merger benefits. Based on the conceptual discussion, the paper concludes with key recommendations for how to manage a cross-border deal to minimize risks and increase the probability of achieving the objectives.
