Book excerpt: Droit de l’insatisfaction, comme l’écrit justement l’un des auteurs des contributions publiées dans le présent ouvrage, le droit de l’insolvabilité revêt une incontestable importance pour les praticiens. Le régime juridique des garanties de paiement y est souvent associé, en ce qu’il tend, avec un succès variable, à permettre à certains créanciers d’affronter cet écueil. Parmi ces garanties, les sûretés mobilières, et en particulier le gage, ont récemment fait l’objet d’importantes modifications. L’objectif initial de cette formation de la CUP était d’en proposer une analyse systématique. Peu de temps avant la confection de cet ouvrage, il est apparu que la réforme consacrée par les lois des 24 juin et 11 juillet 2013 n’entrerait pas en vigueur le 1er décembre 2014, comme initialement prévu. Prenant néanmoins en considération le caractère fondamental de cette réforme, même ajournée, la première partie de ce volume étudie les modifications apportées à l’institution du gage. Les deux mécanismes de garantie que sont le droit de rétention et la clause de réserve de propriété sont ensuite examinés, non seulement sous l’angle de la réforme précitée, mais également en leurs régimes de lege lata. La troisième partie recense et analyse les modifications législatives (à l’exception de la réforme précitée) et les apports jurisprudentiels les plus intéressants en matière d’insolvabilité et de garanties. Enfin, une dernière contribution est consacrée au transfert d’entreprise prévu par l’article 75, § 4, de loi du 8 août 1997 sur les faillites et à la position juridique du curateur dans la jurisprudence récente de la Cour de cassation.

Book excerpt: This volume of the Proceedings of the Nineteenth Session of the Hague Conference on Private International Law encompasses all preparatory work and records of meetings which led to the adoption of the Hague Convention on the Law Applicable to Certain Rights in Respect of Securities held with an Intermediary (the Hague Securities Convention). The signing of this Convention on 5 July 2006 by two of the world's major financial markets, the United States and Switzerland, shows the relevance of the new treaty. Traditional rules, based on physical transfers and direct holdings, are too diverse and inadequate to deal with securities which are nowadays transferred and pledged by electronic entries to accounts with clearing and settlement systems and other intermediaries. By identifying specific conflict rules, the Hague Securities Convention provides a means to remedy this lack of legal certainty which has characterized for too long the field of security transactions. The Proceedings will enable the financial world, but also legal practitioners and academics to grasp the background and full objectives of this very innovative international instrument.
