Book excerpt: Cette thèse s’intéresse à l’évaluation des entreprises telle qu’on peut la découvrir dans les publications grand public, et en particulier en ce qui concerne les opérations financières auxquelles les entreprises ont à recourir lorsqu’elles souhaitent changer la structure de leur capital. C’est donc sous l’angle pratique que l’on considère l’évaluation. L’on fait parallèlement le point sur les approches théoriques dont on expose une typologie. On considère ici 17 méthodes d’évaluation et 17 différentes opérations financières différentes. On fait aussi le point sur l’ensemble des informations qui sont présentées dans les documents grand publics. L’idée de départ est de se rapporter à l’hypothèse selon laquelle les marchés seraient parfaits et que seule l’information grand public serait importante. Tout d’abord on effectue une synthèse des types d’information en mettant en évidence les sources auxquelles il est fait le plus appel. On cherche aussi à mettre en évidence l’importance des nouvelles normes et en quoi elles peuvent modifier les approches classiques. qui sont publiées et qui contribuent à établir une valeur à un titre et sans laquelle une opération financière ne peut être présentée. Nous avons aussi détaillé la démarche amenant à une analyse financière complète jusqu’à une évaluation de la valeur de titres. Nous nous intéressons aussi à la façon dont sont justifiées les évaluations, en mettant en lumière que de nombreuses précautions doivent entourer la lecture et l’interprétation des rapports publiés lesquels ont pour but de contribuer à justifier ou à valoriser de nombreuses opérations que les actionnaires ou les investisseurs peut être conduits à soutenir. L’information grand public apparaît donc comme un moyen d’information fondamental mais où beaucoup reste encore à faire tant d’un point de vue financier et prospectif que d’un point de vue éthique.
