Il testo tratta in forma distinta e completa i seguenti argomenti: Contratti di compravendita nazionali, Contratti di compravendita internazionali, Convenzione delle Nazioni Unite in materia di compravendita dei beni fungibili Vengono inoltre analizzati gli aspetti giuridici in materia di contratti e sono riportati i fac-simili dei contratti di compravendita. Nelle parti concernenti i contratti sono stati esaminati gli aspetti giuridici commerciali, fiscali e doganali, nonché tutta la documentazione aziendale e contabile necessaria per la conclusione di ogni singolo affare, al fine di offrire al lettore una valutazione completa sull’argomento. È stata inserita una parte con la Convenzione delle Nazioni Unite in materia di contratti di compravendita internazionale con la traduzione, non ufficiale, in italiano dei vari articoli, e con l’esposizione sintetica delle principali sentenze. Book excerpt: Il future è un contratto derivato negoziato su mercati regolamentati mediante il quale acquirente e venditore si impegnano a scambiarsi una determinata quantità di una certa attività finanziaria o reale (detta attività sottostante o underlying asset) a un prezzo prefissato e con liquidazione differita a una data futura prestabilita. È un contratto simmetrico in quanto entrambi i contraenti sono obbligati a effettuare una prestazione a scadenza. L'operatore che acquista il future (che si impegna, cioè, ad acquistare a scadenza il sottostante) assume una posizione lunga (long), mentre l'operatore che vende il future assume una posizione corta (short). Nella maggior parte dei casi i future non si concludono con la consegna fisica del bene sottostante, infatti gli operatori preferiscono "chiudere" le posizioni aperte rivendendo un contratto future precedentemente acquistato o acquistando il contratto future precedentemente venduto; ciò consente di risparmiare sui costi di consegna. Al contrario, se il future giunge a scadenza, potrà essere liquidato per cash settlement (calcolandone il controvalore monetario) oppure potrà avvenire la consegna fisica dell'attività sottostante. In quest'ultimo caso l'esatta quantità e qualità dei beni consegnabili sono fissate dal mercato in cui tale contratto viene scambiato. L'attività sottostante (underlying asset) di un future può essere un'azione, un'obbligazione, un tasso di interesse a lungo termine, un tasso a breve, una valuta, un indice azionario o una merce (commodity). La dimensione del contratto definisce l'ammontare che il venditore dovrà consegnare al compratore per ogni contratto stipulato.
