This is what sets an English partnership apart from those in other countries such as those in the EU or even Scotland. What this means for an English partnership is that it cannot hold property or enter contracts; being non-existent as a legal persona it cannot acquire rights and incur obligations

The core rules of partnership law are to be found mainly in the Partnership Act 1890 and this report concentrates primarily on that Act. Although the 1890 Act has been regarded as reasonably successful, and has operated for over a hundred years without amendment it is considered to contain a number of conceptual errors. The rules of the Act form a default code and can be overridden by agreement. The proposals given here do not recommend an alteration of this situation but simply a revised set of default rules. Three main defects in the existing law are identified: partnerships have no legal personality in English law and an insufficiently clear and continuing legal personality in Scots law; the existing law often leads unnecessarily to the complete dissolution of partnerships; and rules on winding up a dissolved partnership are unsatisfactory.

Excerpt: ...--Each partner has implied authority to bind the firm by admissions or representations made "concerning the partnership affairs and in the ordinary course of the business."2 Without such authority he could not properly discharge his duties as agent of the firm. Accordingly, a statement by a partner, of the amount due from the firm to a servant, is to be treated as a statement of the firm.3 A partner's admissions or representations, however, which are not made in the ordinary course of the business, although they may relate to partnership affairs, are not evidence against his copartners, unless they have actually authorized or ratified them. They are receivable only against the partner making them.
