Book excerpt: Blockchains have enabled innovation in distributed economic institutions, such as money (e.g. cryptocurrencies) and markets (e.g. DEXs), but also innovations in distributed governance, such as DAOs, and new forms of collective choice. Yet we still lack a general theory of blockchain governance. James Buchanan once described public choice theory as 'politics without romance' and argued instead for an exchange theory of politics. Following Buchanan, we argue here for an exchange view of blockchain governance. The 'romantic' view of blockchain governance is collective choice and consensus through community voting. The exchange view, instead, is focused on entrepreneurial discovery of opportunities for value creation in governance space through innovation in protocols (e.g. Curve, Convex, Lido, Metagov, etc) that facilitate exchange of coordination and voting rights, that are newly made possible through tools that enable pseudonymous, composable and permissionless governance actions. The exchange lens on web3 governance also helps illuminate how this emergent polycentric process can generate robustness in decentralised systems.

In his paper on stock exchange governance in the European Union Guido Ferrarini discusses the relative merits of member and investor ownership and compares stock exchange regulation in a number of EU countries. Faced with increasing competition amongst themselves and against other enterprises that offer transaction services, such as proprietary trading systems, it is essential for European stock exchanges to improve their efficiency and to generate volume. Large investments in new information technology are necessary in order to preserve competitiveness in agIobaI financial market. The implementation of the ISD has accelerated cross-border transaction activity of member firms and investors and strengthened the pressure for convergence of national stock exchange laws in the EU. In their paper, Francesco Giavazzi and Marco Battaglini look at the role played by banks in privatization processes. Banks can be involved in such processes in several ways. They may themselves be the objects of privatization since in many countries a significant fraction of the banking industry is publicly owned. This is the case in France, Spain and Italy. But banks can also be important buyers of the equity of industrial firms sold by the government if they are allowed to do so. The authors characterize privatizations as a very good opportunity to set up the right environment for the development of new financial intermediaries and in general for asound corporate governance system.

The first has to do with the character of the public goods provided by government: their scale economies, externalities, and informational asymmetries. Book excerpt: Japanese scholars have begun to challenge conventional wisdom about effective labor organizing, and Ikuo Kume has written the first book in English to advance their controversial theory. Since at least the early 1980s, the power of organized labor has weakened in most advanced industrial countries. The decline of organized labor has coincided with the decentralization of labor-management relations. As a result, most observers assume that decentralized labor is destined to lose power in a capitalist economy, and that enterprise unions will tend to be docile and powerless. Kume documents the one notable exception. The Japanese trade union confederation has steadily grown in importance, expanding its scope beyond individual companies to national policy making. Kume traces the achievements of enterprise unionism in private firms. Labor, he argues, slowly gained legitimate corporate membership by establishing joint institutions with management. By the 1960s, labor-management councils, stimulated by foreign competition, had become a widespread feature of Japanese industry. Soon unions were regular participants in the government deliberation councils and in the information exchange that shaped policy when inflation hit the Japanese economy. The unions had become a full partner by the 1980s and were crucially involved in the 1993 defeat of the Liberal Democratic Party after thirty-eight years of rule.
