Oggetto del primo capitolo sono la teoria del trade-off, che contrappone i costi e benefici relativi ad una certa scelta, la pecking order theory, incentrata sulle problematiche di asimmetria informativa, la free cash flow theory, legata ai problemi di agenzia e collegata alle operazioni di leverage buy-out degli anni ’80, e la teoria del ciclo di vita del prodotto. Nel secondo capitolo, invece, l’attenzione è sulle tematiche relative all’incompletezza contrattuale e la trattazione verte sull’assegnazione dei diritti residuali di controllo in base al verificarsi di segnali contingenti.
