Book excerpt: An analysis of public financial offerings of equity Real Estate Investment Trusts (REITs) is conducted, with a focus on liability structure effects and whether or not firms target longer-run debt ratios. Our model findings are that: i) proceeds from equity offers are more likely to be used to fund investment, whereas public debt offer proceeds are typically used to reconfigure the liability structure of the firm, ii) public debt issuers are often capital constrained and target total leverage ratios in order to obtain investment grade credit rating; iii) the pre-offer liability structure affects the issue choice decision, in that firms with higher pre-offer levels of secured (unsecured) debt tend to issue equity (public debt). Other notable findings are that the market for public REIT debt is integrated with the broader debt markets and that higher credit quality firms issue longer maturing bonds.

Book excerpt: Chapter 1 examines the significance of ‘green’ buildings on the operational and financial performance of REITs. The Chapter covers different direct real estate sectors, namely office, retail and residential, for the REITS concerned to evaluate the consistency of the results. Chapter 2 looks at the risk neutral and non-risk neutral pricing of real estate investment trusts in Singapore (S-REITs), via comparing the average of the individual ratios (of deviation between expected and observed closing price/observed closing price), with the ratio (of standard deviation/mean) for closing prices, via the binomial options pricing tree model. Chapter3 highlights that while the Markowitz portfolio theory (MPT) is popular in modern finance to model portfolios with maximum total returns (TRs) for a given systematic risk, the more flexible multivariate copula model is introduced that enables investors and portfolio managers to obtain the optimal portfolio. Chapter 4 looks at a value investing framework, in which a REIT and real estate comany investment operation is deemed to be one, where a “thorough analysis”, should promise the safety of a principal and an adequate total return. Chapter 5 examines the market reactions of Malaysia’s listed property trusts and property common stocks to corporate restructuring activities – direct real estate asset acquisitions and new listings. Chapter 6 reports the Monetary Authority of Singapore (MAS) consultations with the Inland Revenue Authority of Singapore (IRAS) and the Ministry of Finance (MOF), to introduce the Income Tax Act (ITA) amendments, and a new temporary relief measure for real estate investment trusts (REITs) in Singapore. The Chapter also looks at the proposal by the Asian Public Real Estate Association (APREA) to the MAS, to create a private REIT structure Chapter 7 looks at the key issues and notes on the valuation of the public real estate investment trusts (REITs) and the real estate companies, adopting several valuation metrics to value REITs on a stand-alone and a relative basis. Chapter 8 looks at the unique Asian REIT institutional environment, pertaining to the S-REIT, while cross referencing it to that of the CapitaMall Trust (S-CMT) and the Hong Kong HK- Link REIT. Chapter 9 summarises the book’s findings and highlights the contributions and recommendations made.

This study focuses on two capital structure theories being the market timing theory and the trade-off theory and examines the effect of market conditions (i.e. business cycles) on the financing decision strategies of Real Estate Investment Trusts (REITs). REITs benefit from an uncommon status with regard to the regulation under which they operate and this makes the analysis of their capital structure particularly interesting. Indeed, REITs' exemption from taxes on the corporate level and their peculiar asset structure have an influence on the predictions of the capital structure theories. I research whether REITs adapt their financing decisions to the market conditions. My empirical results suggest that REITs do adapt their financing choices to the state of the economy (i.e. booming economy versus recovering economy). In both times of economic boom and recovery, REITs' financial managers time their financing decisions with the market (market timing theory) and target a certain long-term leverage ratio (trade-off theory). However, when comparing the two state of the economy (i.e. different market conditions), I find no change with regard to how REITs' financial managers time the market (market timing theory), but I observe that they put more weight on trying to minimize the difference between their long-term leverage ratio and their target long-term leverage ratio (trade-off theory).

Book excerpt: Sun, Titman, and Twite (2015) find that risky capital structure characteristics, such as high leverage, high share of debt due in the near future and high share of variable-rate debt, significantly reduce the cumulative total returns of US REITs over the 2007-2009 financial crisis. In this paper we show that preparing ahead of the crisis significantly influenced the cumulative return over the crisis period even when controlling for the levels at the start of the crisis. Specifically, we document that REITs which reduced leverage and increased maturity prior to the crisis fared better during the crisis. For instance, one standard deviation reduction in leverage generated five percent higher cumulative return during the crisis. We further find that US REITs with the highest capital structure risk (high leverage and short maturities) were more likely to take precautions by reducing leverage and extending maturity. This effect is especially large for REITs with strong governance. We also document that none of our findings hold for European REITs. This suggests that since European firms did not experience or observe the levels of market excess that occurred in the US before the crisis, whether they took precautions or not had no impact on their returns during the crisis.
