Merger and Acquisition is a strategy adopted by the organizations globally to meet the needs of recent dynamic business environment. It has achieved much attention and importance in corporate world. In Pakistan, this strategy has been used widely in banking sector. Therefore, the objective of the study is to evaluate the financial performance of banks in Pakistan after M&A. The financial and accounting data for 10 banks was taken from the Financial Statement Analysis by State Bank of Pakistan. Profitability & Efficiency, Leverage, and Liquidity ratios were used to measure the financial performance, where pre and post ratio analysis was done. Results of the study show that there is no positive improvement in the financial performance of the banks in Pakistan after Merger and Acquisition.

This strategy also has much importance in Pakistan mostly in banking sector. Therefore, the objective of the study is to assess the impact of M&A on the financial performance of banks in Pakistan. The accounting and financial data of 10 banks were used in this study. Data was taken from the financial statement analysis (FSA) by State Bank of Pakistan from the period of 2006- 2011. For the analysis of pre and post Merger and Acquisition performance 15 financial ratios were used in the study. To compare the results Paired sample t-Test was used to measure the significant difference between pre and post M&A financial performance. The overall results show that there is no significant difference in financial performance. It is concluded that there is insignificant difference between pre and post M&A performance of banks in Pakistan.

Highlighting the importance of corporate governance in banking sector, the paper has focused in depth over its role, level and its impact on performance in banking industry of Pakistan. The paper access this purpose by constructing transparency and disclosure index for the past five year 2007-2011, using proxies for three sub-categories which are board and management structure disclosure, ownership structure disclosure and financial transparency disclosure. The paper also investigated structural changes of T&D Index and its effect on bank financial performance over the sample of 30 banks operating in Pakistan. Empirical analysis results by using ordinary least square regression model, reveals that financial performance is positively related to the transparency and disclosure and their sub levels except ownership structure disclosure which has negative relation with both ROA and ROE. Furthermore the average T&D level in Pakistani banking sector is above average. The current research paper aims for important policy implementation to reduce information asymmetry and improve corporate governance and firm performance in banking sector of Pakistan.

Book excerpt: Financial performance is a general measure of firm's overall financial health over a given period of time. The aim of this study is to compare financial performance of Islamic and Conventional banks to support depositors, bank managers, shareholders, investors, and regulators by providing true picture of financial position of Islamic as well conventional banks in Pakistan Ratio analysis technique is used to analyze financial performance of both banks. Data is collected from annual financial statements i.e. Balance sheet and Income statement for the period of 2008-2012. Nineteen ratios were estimated to measure these performances in terms of profitability, liquidity, risk and solvency, capital adequacy, operational, deployment and cash flow. Independent sample t test was used to determine significance of mean differences of these ratios between two banks. The study concludes that Conventional banks are more profitable, deployed and operationally efficient while less liquid and more risky as compared to Islamic Banks and also found a significant mean difference in profitability, capital adequacy, and cash flow ratio of both banks. To increase performance banks should conduct internal evaluation to improve its activities and to overcome weaknesses.

Book excerpt: The global financial crisis in 2008 adversely affected the financial setups all around the globe with far reaching consequences for its victims. This study aimed at analyzing various determinants of banks' financial performance in Pakistan along with intention to ascertain the impacts of global financial crisis on the relative contribution of these determinants towards financial performance. The step-wise multiple regression analysis and pre-post comparison of coefficients were carried out in this regard. This study found that assets quality is the most influential determinant of return over assets (ROA) followed by bank size and solvency. Advances, liquidity, investments, and size have positive while poor assets quality and deposits have negative impact over ROA. A comparison of the pre-crisis and post-crisis coefficients of the determinants of ROA reveled that the global financial crisis has exerted significant impact on the relative ability of these determinants to explain variations in ROA.

A sample of five major Islamic Banks in Pakistan namely Meezan Bank, Burj Bank, Dubai Islamic Bank, Bank Islami and Albaraka Bank had taken for the period of 2009 to 2014. Multiple regression analysis is used to show the relationship of intellectual capital and the bank's performance. The results suggest that the bank's performance (Return on asset, Return on equity) is positively and significantly related to the intellectual capital of Islamic Banks in Pakistan. The main components of intellectual capital that is structural capital efficiency, human capital efficiency and capital employed efficiency have significant impact on the bank's performance. Human capital efficiency and capital employed efficiency show direct association with the bank's performance whereas structural capital efficiency shows no relationship with the bank's performance in Pakistan. This is the first study to investigate the relationship between the intellectual capital and bank's performance of Islamic Banks in Pakistan.

Book excerpt: This article investigates the performance of Islamic banks versus conventional counterparts in Pakistan over the period (2007-2017) using financial ratio analysis. A total of 18 banks (13 conventional and 5 Islamic) were considered. A comparative study is undertaken based on performance indicators, 12 financial ratios were estimated used to measure performances in terms of profitability, liquidity, risk and solvency, and efficiency. T-test is used in determining their significance. The results show that there are differences in performance between Islamic and conventional banks in Pakistan during study period in terms Islamic banks are less profitable, more liquid, less risky, and less efficient comparing to conventional banks. However, there was no significant difference in profitability ratios, but there was a significant difference in liquidity ratios and risk and solvency ratios between conventional and Islamic banks.

Economic conditions are not ideal due to which many firms are doing merger and acquisition to improve their financial performance. Our research study has tried to measure the affect of these merger and acquisitions on the financial performance of the banks in Pakistan. The main objective is to check whether merger and acquisition in banks of Pakistan has increased their performance or not. Merger and acquisition is the independent variable whereas financial performance is the dependent variable. Financial performance is determined through liquidity ratios (DTA, CTA), profitability ratios (ROA, ROE) and solvency ratios (D/E, DR). Data is collected from annual reports of the banks. Only those banks are included which are listed in the Karachi stock exchange in Pakistan. Our results showed that performance of mostly banks increased after merger and acquisition but it is not true for all the banks which reveals that banks should consider more information and detailed analysis should be done before doing merger and acquisition in Pakistan. Results of this research would also help to different stakeholders like researchers, investors, creditors, employees, bankers etc. in understanding the importance of merger and acquisitions.

Also impact on performance of loans was evaluated to relate it with globalization. Primary data was also collected through survey by using a closed ended questionnaire. The main findings (I) there seems significant impact on liquidity and profitability of banking system. (II) Non Performing Loans were accumulated significantly after multi year better performance of healthy loans. (III) It was also revealed that the cost of deposits were increased which has adversely affected the profitability of well established five big banks of the country.

Design/methodology/approach: The methodology is based on Grey Relation Analysis (GRA) by using six-power analyses which has been used previously in the field of industry and commerce for evaluating the comparative performance of banks. Furthermore, the GRA is based on TOPSIS technique to rank the banks.Findings: The findings reveal that benchmarking performance indicators are essentially locating the representative indicator from the existing ratios most commonly used in financial analysis to assess business operational performance. The GRA is linked with Technique for Order Preferences by the Similarity to Ideal Solution (TOPSIS) technique may result in incompleteness in the combination of ratios, and requires adjustment when other issues for analysis are involved. Overall, the study also demonstrates that a bank with a high ROA leads to a high financial performance. This paper conducted a review of literature and used six-power analyses to aggregate financial ratios appropriate for the TOPSIS technique. Future research could set up a specific model for the preliminary selection of financial ratios with a new to make studies of this kind more complete. Limitations: The current study is limited to twenty-four listed banks of Pakistan Stock Exchange (PSX) during period from 2013 to 2015 and also limited to secondary data instead of primary data. Originality/Value: This paper presented a new technique for performance evaluation - GRA. The major contribution of this paper is to use 24 banks in order to investigate the performance evaluation of listed banks of PSX during period from 2013 to 2015. Furthermore, GRA could avoid the waste of resources due to the uncertainty of relations among the ratios when using them for analysis.
