Download or read book Investment Management Stewardship and Sustainability written by Iris H-Y Chiu and published by Bloomsbury Publishing. This book was released on 2023-02-09 with total page 435 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book brings together thought leadership from academia and leading figures in asset management in key global jurisdictions, to pool together insights regarding the transformative visions and challenges for modern investment management, as well as best practices that realise the policy objectives in regulation and soft law. The world of investment management is being challenged by new legal, regulatory and soft law developments to demonstrate that their practices cohere with the long-term needs of the saving population as well as public interest needs in financing global sustainability and social development. The chapters in this book uniquely bring together the views of academia and practice on the key developments that can transform the law and practice of investment management, including the EU's new sustainable finance reform package, the UK Stewardship Code 2020, and developments in the US regarding the fit between fiduciary law for investment management and modern sustainability concerns. The book brings together the best of both worlds–critical thoughtful perspectives from academia and qualitative insight from the investment management industry. It will be of interest to researchers in law, investment management, business and management, practitioners in the investment management industry and their legal advisers, and policy-makers in the EU, UK and beyond who are grappling with the appropriate governance paradigms for bringing about more sustainable outcomes globally.

Book Investor Stewardship and the UK Stewardship Code

Download or read book Investor Stewardship and the UK Stewardship Code written by Daniel Cash and published by Springer Nature. This book was released on 2021-09-20 with total page 82 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book provides a critical assessment of the development of the Stewardship Code 2020, which sets out principles regarding the role of institutional investors in corporate governance. It discusses how the regulatory framework for stewardship evolved before and after the financial crisis, and how that evolution resulted in the 2020 Code. It then critiques the Code from a practical and academic perspective, as well as evaluating the wider regulatory framework; in particular, the position of the FRC (ARGA). The book concludes by offering insight into different pathways that the evolution of stewardship may continue to take. Stewardship Codes modelled on the U.K.’s original 2010 version have been introduced in numerous markets and as such the book will be relevant for an international audience of academics, regulators and policymakers in financial regulation, investment regulation and financial services.

Book Company Law

    Book Details:
  • Author : Eva Micheler
  • Publisher : Oxford University Press
  • Release : 2021-10-21
  • ISBN : 0192602624
  • Pages : 304 pages

Download or read book Company Law written by Eva Micheler and published by Oxford University Press. This book was released on 2021-10-21 with total page 304 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book advances a real entity theory of company law, in which the company is a legal entity which acts autonomously in law, and company law establishes procedures facilitating autonomous organisational decision-making. The theory builds on the insight that organisations or firms are a social phenomenon outside of the law and that these are autonomous actors in their own right. They are more than the sum of the contributions of their participants and they act independently of the views and interests of their participants. This occurs because human beings change their behaviour when they act as members of a group or an organisation; in a group we tend to develop and conform to a shared standard, and when we act in organisations habits, routines, processes, and procedures form and a culture emerges. These take on a life of their own affecting the behaviour of the participants. Participants can affect organisational behaviour but this takes time and effort. Company law finds this phenomenon and supplies it with a structure supporting autonomous action by organisations. The real entity theory advanced in this book explains company law as it stands at a positive level. Legal personality overcomes the problems that organisations are social rather than brute facts and that there is no unique physical manifestation permanently associated with an organisation. The corporate constitution is not a contract - it is best characterised as an instrument adopted on a statutory basis through private action. Shareholders cannot limit the capacity of companies or the authority of the board to bind the company in contract and companies are liable in tort and crime. The statute creates roles for shareholders, directors, a company secretary, and auditors and so facilitates a process leading to organisational action. The law also integrates the interests of creditors and stakeholders.

Book The New Capitalists

Download or read book The New Capitalists written by Stephen Davis and published by Harvard Business Press. This book was released on 2006-11-01 with total page 288 pages. Available in PDF, EPUB and Kindle. Book excerpt: Thanks to the rise of mutual funds and retirement plans, the actual owners of the world’s corporate giants are no longer a few wealthy families. Rather, they’re the huge majority of working people who have their pensions and life savings invested in shares of today’s largest companies. These grassroots owners have ideas about value that differ from those of tycoons or Wall Street traders. And corporate directors and executives are coming under increasing pressure to respond. The New Capitalists provides examples—from GE to Disney to British Petroleum—of enterprises whose shareholders have recently wielded their control in ways unimaginable just several years ago. Authors Stephen Davis, Jon Lukomnik and David Pitt-Watson describe how civil ownership will profoundly alter our world—including forcing the rise of a new species of corporation. It has already begun demolishing old rules and habits, laying the groundwork for a new “constitution of commerce.” The authors spell out conventional thinking destined for extinction—and fresh strategies companies must implement to survive in the emerging “civil economy.” They also outline how investors, advisors, activists, and policy makers can make their voices heard.

Download or read book Roll Up written by Thomas J. Flaherty and published by Greenleaf Book Group. This book was released on 2022-04-05 with total page 363 pages. Available in PDF, EPUB and Kindle. Book excerpt: The ultimate guide to the ongoing consolidation of the utilities industry Roll-Up delves into the rich history of utilities consolidation—from the original, highly fragmented U.S. industry structure, through the development of industry views on consolidation and participation, to the drivers and events occurring in the cycles of the modern era, from 1995–2020. Expert utilities consultant Tom Flaherty interviewed eleven current or former chief executive officers, investment bankers, attorneys, and ratings analysts who provided introspection and commentary on their experiences with consolidation in the modern era. These notable individuals made the tough decisions about whether to pursue a transaction, evaluated the logic of potential combinations, crafted merger agreements, designed the process for successful outcomes, and guided the execution of mergers through the strategy, financing, regulatory, and integration processes. In Roll-Up, Flaherty has combined these interviews of experts in the utilities industry with detailed research and decades of experience to explore topics like • the changing motivations for combinations, • hands-on perspectives of successful transaction execution, • the current nature of business simplification and portfolio rationalization, • what could happen next for utility mergers and acquisitions. Roll-Up covers the past and present of utilities consolidation and looks over the horizon at how future transactions might evolve beyond those historically conducted.
