Comment organiser l’extrême diversité de ses intérêts légitimes, par rapport à la société ou aux autres actionnaires, dans les statuts ou dans des conventions parallèles, dans le contexte légal emmêlé du droit des sociétés, du droit financier, mais aussi du droit social comme du droit fiscal ? Le premier ordre de réflexion, mené par MM. Pierre Nicaise et Edouard-Jean Navez, aborde la panoplie des différentes formes de sociétés (il y en a dix) que le législateur a retenues au fil du temps, suivant une logique devenue peu évidente, et qui devrait mener, selon le souhait de ces auteurs, moyennant quelques aménagements législatifs, à faire le choix d’un nombre restreint de formes sociales disposant d’une large liberté contractuelle. M. Philippe Malherbe, quant à lui, étudie le rôle que jouent les principaux actionnaires atypiques que sont les membres du personnel, les fonds de pension, mais aussi – et encore plus dans le contexte actuel – l’État. Mais le choix de la forme de société opéré par ses fondateurs ne résout pas tous les problèmes et mène à un second ordre de réflexion qui touche aux différents aménagements contractuels auxquels se livrent les associés pour adapter le régime légal qu’ils ont adopté à leurs attentes. MM. Olivier Caprasse et Roman Aydogdu examinent les pactes d’associés. Quatre autres thématiques importantes sont alors abordées : le droit de vote et les différentes catégories de titres, par M. François T’Kint, le droit des groupes, par M. Paul Alain Foriers, la certification des actions des sociétés anonymes, par Mme Valérie Simonart, et enfin les mesures de défense anti-OPA, par M. Marc Fyon. La cohérence et l’actualité de l’ouvrage, dues à la qualité des auteurs, qui ont le mérite de cumuler autorité doctrinale et expérience pratique de la matière, en font un outil indispensable de réflexion et une source d’inspiration pour le praticien. Il démontre la grande vitalité du droit des sociétés, qu’un Code démesuré n’est pas parvenu à brider.
