Book Executive Severance Agreements Line by Line

Download or read book Executive Severance Agreements Line by Line written by Gary D. Blachman and published by Aspatore Books. This book was released on 2012 with total page 101 pages. Available in PDF, EPUB and Kindle. Book excerpt: Written by practicing attorneys with nationwide experience in drafting and litigating employment and separation agreements, Executive Severance Agreements Line by Line is a comprehensive examination of the crucial components included in a severance agreement for an executive. It explains the reasoning behind the various clauses in the agreement and explores the rationale for using different agreements to help meet the specific needs of each client. This book also discusses the difficulty in enforcing certain provisions of the agreement and examines how to draft provisions to maximize the opportunity for enforcement. The authors offer advice on such topics as considering the potential restrictions imposed by IRC Section 409A, understanding the impact of federal statutes and regulations on separation provisions, addressing various states approaches to non-competes, determining the appropriate scope of non-solicitation and non-competition provisions, and analyzing the consideration offered in exchange for a release of claims. Executive Severance Agreements Line by Line is a valuable resource for anyone who has ever negotiated or drafted a severance agreement, as well as for any executive who is about to enter into such an agreement.

Book The Firm Divided

Download or read book The Firm Divided written by Graeme Guthrie and published by Oxford University Press. This book was released on 2017-03-01 with total page 353 pages. Available in PDF, EPUB and Kindle. Book excerpt: A battle is being fought within corporations. Shareholders want managers to make their shares as valuable as possible, managers want shareholders to leave them alone, and the board of directors is caught in the middle. The Firm Divided shows how strong boards persuade managers to do what's best for shareholders-and why weak boards don't. Graeme Guthrie blends the stories of particular firms and individuals with the insights of scholarly research, enhancing understanding of how seemingly separate events are consequences of the separation of ownership and control, the ultimate cause of manager-shareholder conflict. Boards of directors can affect the outcome of this conflict by monitoring managers, providing incentives for managers to work in shareholders' best interests, delegating monitoring to outside parties, and influencing the effectiveness of the market for corporate control. How directors do this depends on how they weigh their fiduciary duty to shareholders against the close ties that bind them to senior executives. The Firm Divided provides conceptual insight, underpinned by research into corporate governance, into board-manager interactions. It shows how tools that can benefit shareholders when used by strong boards can actually harm shareholders when used by weak boards. Guthrie provides a 360 degree view of firms, exploring the ways in which each player pursues their own goals, with examples from a range of firms in diverse industries.

Book Personal Financial Planning for Executives and Entrepreneurs

Download or read book Personal Financial Planning for Executives and Entrepreneurs written by Michael J. Nathanson and published by Springer. This book was released on 2018-11-12 with total page 205 pages. Available in PDF, EPUB and Kindle. Book excerpt: Effective financial planning for executives and entrepreneurs is complex, dense, and impossible to reduce to a single, easy-to-understand formula. Designed to emphasize the importance of effective, targeted financial planning, this book begins by telling a story about a fictional, but plausible, power couple and their family who (spoiler alert!) do pretty much everything wrong in securing their financial future. In most cases, they don’t do the things needed because they don’t know what they are. Using this story as a case study of executives and entrepreneurs, the book breaks down the case into chapters and offers practical discussions of all the key financial planning pillars—investment planning, tax planning, estate planning, philanthropic planning, risk management, and equity-based compensation to name a few—with the tools needed to tailor a plan for virtually every circumstance and need. While there is no single plan that works for everybody, this book will provide a guide with complicated, technical information alongside specific guidance on how to build an effective financial plan.

Book United States ex rel Rodriguez v Hughes et al

Download or read book United States ex rel Rodriguez v Hughes et al written by Paul J. Zwier and published by Aspen Publishing. This book was released on 2016-01-22 with total page 428 pages. Available in PDF, EPUB and Kindle. Book excerpt: NITA would like to acknowledge that this case file was produced through Emory’s Center for Advocacy and Dispute Resolution, with a special thanks to Reuben Guttman and the firm of Grant & Eisenhofer for their help in authoring the materials. The four case files of United States ex rel. Rodriguez v. Hughes, et al. explore the suit brought by Juan Rodriguez, a prominent engineer, who acted as a whistleblower against his employer, Hughes Aircraft, for violations of the False Claims Act. Richard Hughes (CEO of Hughes Aircraft) learned that the United States Department of Defense (DOD) was looking for a new helicopter to provide to the Mexican government as part of the United States' Mérida Initiative, which provided Mexico resources to help it fight its war against the drug cartels. Hughes, on behalf of Hughes Aircraft, entered into a sole source contract with the DOD. Hughes was favorably positioned to do so as it was the sole manufacturer of the Screaming Eagle helicopter S-70, the model the DOD was seeking to purchase. Rodriguez's employment background put him in a position to ascertain whether his employer, Hughes Aircraft, was making false claims to the DOD. Initially, Rodriguez had been employed at Sikorsky Aircraft Inc., a predecessor of Hughes, working in the design and manufacture of the first Screaming Eagle helicopters. Later Sikorsky Aircraft was bought by Hughes Aircraft. During his tenure at Hughes, Rodriguez had designed and retrofitted early versions of the Screaming Eagle helicopter. When retrofitted with heavy missiles, one of the first versions, the UH-A, suffered cracks on landing. Accordingly, metals intended to help crash-proof the helicopter were added to the design. Hughes also started to employ Magnaflux testing to ensure that later versions of the Screaming Eagle did not have subsurface cracks. Rodriguez claims that he saw cracks in the cabin of one of the Screaming Eagles Mexico helicopters, and that he also saw workers welding over the cracks. Rodriguez claimed that he considered the welding over of cracks in the cabin of the Screaming Eagle a "cover up" of the failure to conduct testing and thus an act of fraud—passing on defective helicopters to the governments of the United States and Mexico.
