Book excerpt: Drug synergy occurs when two or more drugs are used in a combination therapy, and the total effect of the drugs is more than would be expected based on their individual effects. Although numerous methods exist for evaluating synergy between two drugs, few have been developed for three or more drugs, and most of them have some significant drawbacks. This dissertation extends a number of two-drug synergy methods to accommodate three or more drugs. First, the method of Plummer and Short [27] is extended to three or more drugs, which is an appropriate method for cases where only global synergy may be present. Next, the parametric method of Kong and Lee [19] is extended, which is appropriate for cases where local synergy may be present. Finally, the semiparametric method of Kong and Lee [20] is extended to three or more drugs, which is an appropriate method for cases where either local synergy may be present or where the model assumptions of the extended Plummer and Short method and the extended Kong and Lee methods are not met. For each method, synergy models are presented for the case of n drugs; the models are then implemented and evaluated using simulated data for the case of three drugs, and their goodness of fit is evaluated using simulations. When more than two drugs are used in a combination, there is an additional complexity not present in 2-drug synergy: determining whether any detected synergy is between all n drugs or only a subset of the drugs. All of the new methods presented in this dissertation are able to make that distinction.

Book excerpt: The creation of synergy, which is often illustrated as the "2+2=5-effect", is a dominant motive as well as a key success factor for Mergers & Acquisitions (M&A). Inadequate expectations with respect to the synergistic potential can however easily result in an overrated acquisition price. If the planned synergies later fail to materialize, it will be increasingly hard for the acquiring firm to achieve positive value gains for its shareholders. It is therefore vital to obtain a comprehensive understanding of the synergistic potential of a planned M&A project. This issue was addressed with a doctoral thesis investigating the underlying drivers of synergy realization, in particular the concept of business relatedness which describes the similarity of firm attributes, such as product-market presence, resource configuration and supply channel types. Using a quantitative hypothesis-testing survey design, more than 300 M&A consultants worldwide have been invited to evaluate past M&A transactions with respect to their synergistic effects. In contrast to earlier studies, the relatedness of the merging firms is established as a multi-dimensional concept considering various attributes of business relatedness simultaneously. The degree of relatedness is measured using managerial perceptions which is a comparatively new measurement approach transferred from diversification research to the field of M&A. The individual dimensions of relatedness show a different effectiveness concerning synergy realization providing further support to recent contributions which advocate a multi-dimensional conceptualization of business relatedness. The study identifies dimensions of business relatedness and their underlying drivers which are particularly relevant to predictions concerning the synergistic potential. The research project thus makes a valuable contribution to clarify the impact of relatedness on M&A performance and provides important implications for practitioners regarding the eval

However, studies generally overlooked the investigation of the use and reporting of synergy value. The purpose of this study is to assess the disclosure practices and to analyse different factors behind the disclosure of synergy in M&A corporate reports. First of all, we defined the information needed to effectively assess the synergy value. The following empirical analysis was performed in two stages: analysis of the data obtained through content analysis of M&A reports; analysis of the factors that influence the disclosure of synergy using a dependency model. Several variables were introduced to represent the features of companies and deals. Companies usually report information regarding valuation models and synergy types. Information about synergy flows, timing and likelihood of achievement is seldom reported. The results show a significant relationship between the listing status, the involvement of strategic advisors and the disclosure on synergy value. The findings emphasize that the companies characterized by higher disclosure pressure typically disclose information needed to effectively assess the synergy value. Moreover, the results suggest that companies utilize information on synergy value as a mechanism to persuade external stakeholders on the effectiveness of M&As.

Book excerpt: The purpose of this paper is to examine the use and effectiveness of synergy valuation models in mergers and acquisitions (M&A). This paper advances the current debate on synergy and valuation models in accounting and finance studies. In particular, it answers the call for a detailed investigation of the failure rates of mergers and acquisitions, which have remained consistently high.Relevant literature is reviewed and critically assessed. An interpretive methodology is used to analyze empirical data from a questionnaire survey and interviews of M&A experts. M&A experts perceive net present value as the most frequently used and most appropriate valuation model. There is a strong consensus on the simultaneous use of multiple models as control models. The effectiveness of the synergy value depends more on the valuation path and the assessment process than on the models used. The strategic factors that are considered very relevant to generating reliable forecasts are, surprisingly, not adequately quantified. Indeed, there are several mismatches in valuation practices. This set of contributions is important for both scholars and practitioners. We highlight that the synergy assessment process and the effective use of synergy valuation models are critical points to cut the failure rate of mergers and acquisitions Our findings show the need to warn firms of the potential risks of inaccurate synergy estimations and, at the same time, suggest that an effective synergy assessment model have to be developed to increase the likelihood of M&A success. This is the first comprehensive investigation of synergy valuation models in M&A. The findings recommend that synergy valuation processes must rely on knowledge and experience from accounting as well as from other disciplines such as finance and management.
