Book excerpt: Após a entrada em vigor do Tratado de Amesterdão (1999), e no desenvolvimento do Espaço de Liberdade, de Segurança e de Justiça então criado, as instituições da União Europeia aprovaram um conjunto de actos de direito da União em matéria de direito internacional privado (conflitos de leis e conflitos de jurisdições). Pode assim falar-se, a este propósito, de um direito internacional privado da União Europeia, cujas regras, nas matérias a que se dirigem, afastam a aplicação das normas homólogas de criação estadual. O presente trabalho, para além de inserir aquela criação normativa da União no contexto que a justificou, analisa alguns dos mais relevantes daqueles diplomas (em matéria de obrigações contratuais, obrigações extracontratuais, obrigações alimentares, divórcio e separação, sucessões por morte, e competência judicial e reconhecimento de sentenças em matéria civil e comercial), incluindo ainda um estudo sobre as orientações da jurisprudência do Tribunal de Justiça com relevo para esta área do direito. After the entry into force of the Amsterdam Treaty (1999), and developing the Area of Freedom, Security and Justice created at that time, the European Union institutions approved a set of Union law acts on private international law (conflict of laws and conflicts of jurisdiction). One may therefore speak of a european private international law, whose dispositions, in the matters covered by them, replace the application of the corresponding rules created by the Member States. The present work, besides placing that normative creation of the Union in the respective context, examines some of the most relevant among those acts (on contractual obligations, extracontractual obligations, maintenance obligations, divorce and legal separation, succession and jurisdiction and recognition of decisions in civil and commercial matters), and includes also an essay on the jurisprudential trends of the European Court of Justice with relevance to this field of the law.

Book excerpt: This book adopts the proposition that it is possible to the customs to be sources of contractual obligations. To support that premise, it was necessary to seek jurisprudential (arbitration and litigation) and comparative basis. Even more, due to contract law internationalization, customary international sources should be subject of domestic treatment, as they provide contractual obligations as well as they work as contractual interpretation tool. However, one can´t neglect the need to control the customary content. In detailed terms, then, we can say that the role reserved for the custom as contractual law rules source has always been residual in Brazilian law. Accompanying the modern European experience, doctrine and Brazilian legislation emphasize the secondary, when not merely interpretive, role of the contractual custom. In turn, Brazilian case law wasn´t able to give general treatment to contractual custom. Moreover, the process of reducing distances and cultural, social and economic approximation, usually called globalization, influenced the contracts through the incorporation of a number of solutions brought from the international trade practice. Although they might be justified by the age-old principle of freedom, somehow these international "uses" insinuate themselves into Brazil to the point of requiring that the Brazilian Courts themselves to give them treatment and shelter. On one side, if you deny the existence of a creative normative role in contractual custom by another, albeit indirect, is recognized not only their existence but the possibility of foreign origin. This paradoxical treatment reflects, to some extent, another consequence: the Brazilian contract law is in the process of internationalization. Here, then, a new confrontation is announced: a broad creative freedom (a tributary of the so-called Lex mercatoria) and the foreign act incorporation control (public policy). Unlike before, however, no simplistic answer would be feasible, particularly because of the complexity of contemporary and regulatory Brazilian contract law.

Book excerpt: The sharing economy is just one of several possible expressions to designate the complex model of social and economic relationships based on the intensive use of digital technology. Constant permutations and combinations allow these relationships to be established through the intervention of a third party making traditional contractual positions flexible in such a way that today’s employee is tomorrow’s entrepreneur, or today’s consumer is tomorrow’s supplier of goods and services. The current legal framework is, in many respects, unable to accommodate such big changes and new legal regulations are required where adaptation of the existing ones proves to be inadequate. This book highlights where changes are needed and where adaptations are required, with a particular focus on the Portuguese, Spanish, Italian, British and Brazilian contexts. For that, four different approaches are undertaken, namely the meta-legal, macro-legal, micro-legal and transnational approaches. The study that results from these different approaches enables readers to acquire a general view on the current legal problems arising from the sharing economy, and was a direct result of a research project of the Centre for Legal and Economic Research, at the University of Porto, funded by Fundação para a Ciência e Tecnologia.
