Book excerpt: La Ley de Sociedades de Capital, bajo el título «Los negocios sobre las propias participaciones y acciones» (arts. 134 a 158), agrupa figuras de distinta naturaleza, pero con objetivos comunes: las adquisiciones originarias y derivativas de acciones y participaciones propias o de la sociedad dominante; su aceptación en garantía; la asistencia financiera para su adquisición; y las participaciones recíprocas. Esta regulación se conforma tras refundiciones y reformas, muy condicionadas estas últimas por las Directivas de la Unión Europea sobre sociedades. El régimen legal lo comparten las sociedades de capital en contadas materias, pues, en la mayoría, hay normas diferentes para las sociedades anónimas (y las comanditarias por acciones) y para las de responsabilidad limitada. Se asienta en una prohibición general que incluye la realización de estos negocios directamente o a través de persona interpuesta. Régimen que se dulcifica con excepciones, no todas aplicables a las limitadas. Su transgresión obliga a enajenar o amortizar las acciones y participaciones y conlleva la aplicación de un régimen sancionador, con infracciones de las que responderán los administradores, los directivos y las personas con poder de representación de la sociedad infractora y, en su caso, de la sociedad dominante. Hay reglas especiales para las sociedades cotizadas, para las cotizadas con propósito especial para la adquisición y, en la legislación del mercado de valores, para las participaciones significativas. Esta obra analiza ese conjunto de negocios complejos, de cuya dificultad e importancia, tanto teórica como práctica, son reflejo las resoluciones dictadas en su aplicación e interpretación
