Internationally promoted regulatory patterns, especially IOSCO principles, have been increasingly influencing administrative rule making by the Brazilian Securities and Exchange Commission (CVM) as well as the adoption of transnational rules in Brazil by means of self-regulatory activity. Even though there is a certain level of convergence of market regulatory standards at the transnational level, implementation and enforcement of rules remains essentially domestic. We analyze two case studies regarding the transposition of international standards into the Brazilian legal system, which illustrate this tension between the transnational and domestic dimensions of financial markets regulation. The first case concerns a CVM rule on disclosure of executive compensation and the its interpretation by local courts. The second case refers to the adoption of suitability rules.

Book excerpt: We evaluated firms' compliance with required International Financial Reporting Standards (IFRS) disclosure in the first mandatory adoption year of IFRS in Brazil (2010) by comprehensively examining 638 disclosure required items from 28 encompassing IFRSs in the Notes to Financial Statements of all (366) Brazilian non-financial corporations listed on the Brazilian stock exchange (BM&FBovespa). We measured disclosure compliance levels by calculating the respective index, both overall and for each standard, and investigated associations between disclosure levels and firm's characteristics as potential explanatory disclosure compliance factors. Our findings showed overall low levels of disclosure compliance in the analyzed year: the average level of compliance with IFRS required disclosure was very sensitive to the approach employed, varying from 16.04% (strict criterion and dichotomous approach) to 33.72% (tolerant criterion and partial compliance unweighted approach). In line with other countries experience illustrated by the international literature, these results emphasize the importance of increasing institutional support conditions for enhanced enforcement mechanisms, enabling the Brazilian firms to better attain the full economic benefits of IFRS adoption. In all our analyses, company size and “Big 4” auditing were positively associated with the dependent variable, independent of the model employed to determine the compliance disclosure index, making it possible to conclude that these factors produce a significant positive impact on compliance with the IFRS disclosure requirement levels of Brazilian firms.

Book excerpt: This article investigates the impact of the process of convergence to international accounting standards in Brazil on the informational content of accounting, focused on the changes in the main accounting and financial ratios and on the relevance of accounting information. For this purpose, we analyzed publicly traded nonfinancial companies, considering information for 2009, disclosed at the start of 2010 (BRGAAP - partial IFRS) and for the same year, disclosed at the start of 2011 (full IFRS). The purpose of analyzing the data for 2009 was to isolate any other influence found in the accounting statements that did not come from the alteration in accounting standards. The results indicate that the indicators Indebtedness (DEBT), Asset Turnover (AT), Gross Margin (GM), Operating Cash Flow over Total Assets (OPCFA) and Operating Cash Flow over Stockholders' Equity (OPCFE) are lower in the financial statements prepared according to full IFRS. Analysis of the informational capacity of Net Income by means of regression allowed detecting that Net Income has higher explanatory power of the behavior of stock prices under full IFRS. With respect to the informational content of Stockholders' Equity, the results indicate no significant change in explanatory power on the behavior of stock prices.
