Book excerpt: La tesis presentada afronta el estudio de los deberes y responsabilidad de los administradores de sociedades de paital que se encuentran en situaciones de crisis empresarial. La tesis se divide en dos partes. La parte Primera contiene, a su vez, tres capitulos. En el capitulo I se revisa la normativa española y comparada, tanto societaria como concursal para intentar determinar el concepto de estado de crisis empresarial, que no se debe construir unicamente mediante el recurso a los conceptos de sobreendeudamiento o de insolvencia, actual o inminenete. La propuesta realizada intenta ofrecer un concepto similar al anglosajon de proximidad a la insolvencia. Se utiliza el recurso a un sistema de indicios para articular presunciones judiciales de conocimiento de este estado de crisis. El Capitulo II estudia, tanto desde la optica comparada como española, cual es el contenidode la clausula del interes social en situaciones de crisis empresarial, lo que determinaa asu vez, cuales son los intereses que han de guiar la actividad gestora en este escenario. Posteriormente, se hace referencia al interes concursal y a la posibilidad de extender algunos de los principios en que se asienta este concepto a momentos previos al inicio del proceso concursal. En el capitulo III se analiza el deber de diligencia gestora en escenarios de crisis empresarial. Se presta espwecial atencion a la necesidad de establecimiento de sistemas de monitorización y control que permitan el conocimiento tempestivo del estado de crsiis empresarial y a la influencia que la existencia de delegaciones puede tener en la responasbilidad. En la Parte Segunda, que contiene cuatro Capitulos, se estudian los restantes deberes que conforman el que se denomina en este trabajo estatuto de deberes del administrador en la cris empresarial, asi como la responsabilidad derivada de su incumplimiento. En el capitulo I se analizan los deberes precontractuales que pesan sobre los administradores ebn el ambito de la negociacion precontractual en representacion de la sociedad. se estudia la aplicacion de las wexigencuias de mla buena fe precontractual a los administradores que negocian por cuenta y en nombe de la sociedad, en el ambito de lo que se had enominado"introduccion al endeudamiento progresivo". la segunda parte de este capitulo analiza la posible aplicacion de la doctrina de la tutela aquiliana del credito a los supuestos de incumplimiento selectivo de contratos en la fase de crisis empresarial. El capitulo II trata sobre los deberes y responsabilidad de los administradores en la crisis disolutoria, en concreto, sobre los deberes que la situacion de perdidas cualificadas impone a los administradoress de sociedad de capital, asi comko la responsaqbilkiidad por las obligaciones sociales derivadas del incumplimiento de los mismos. Se comienza realizando un estudio de los ordenamientos conmparados que resultan de mayor relevancia para, posteriormente, estudiar la cuestion en Derecho Español. El Capitulo III de esta se ocupa del estudio de los deberes y responasabilidad de los administradores en la cruisis concursal. Se comienza por analizar de manera sucinta tanto ordenamientos con sistemas de wrongful trading o asimilados como ordenamientos de corte continental. Posteriormente, se estudia la regulación española, comenzando por el analisis de la diligencia debida en la crisis concursal, el deber de solicitud de concurso y el deber de conservacion de la masa en el mejor interés del concurso. Posteriormente, se analiza cada uno de los elementos que conforman la responsabilidad concursal de los administradores sociales. Finalmente, en el capitulo IV se estudia la posible extensión de las conclusiones alzanzadas a figuras distintas de la del administrador de derecho.

In recent years governments in the South have transferred at least 200 million hectares of forests to communities living in and around them . This book assesses the experience of what appears to be a new international trend that has substantially increased the share of the world's forests under community administration. Based on research in over 30 communities in selected countries in Asia (India, Nepal, Philippines, Laos, Indonesia), Africa (Burkina Faso, Cameroon, Ghana) and Latin America (Bolivia, Brazil, Guatemala, Nicaragua), it examines the process and outcomes of granting new rights, assessing a variety of governance issues in implementation, access to forest products and markets and outcomes for people and forests . Forest tenure reforms have been highly varied, ranging from the titling of indigenous territories to the granting of small land areas for forest regeneration or the right to a share in timber revenues. While in many cases these rights have been significant, new statutory rights do not automatically result in rights in practice, and a variety of institutional weaknesses and policy distortions have limited the impacts of change. Through the comparison of selected cases, the chapters explore the nature of forest reform, the extent and meaning of rights transferred or recognized, and the role of authority and citizens' networks in forest governance. They also assess opportunities and obstacles associated with government regulations and markets for forest products and the effects across the cases on livelihoods, forest condition and equity. Book excerpt: Payments for Environmental Services (PES) are being considered worldwide with great interest and expectation. Proposals to create agreements in which beneficiaries of environmental services pay landowners directly for the provision or protection of these services are innovative and promising. But what real PES experiences are actually out there? This work assesses a range of PES or PES-type experiences in one country, Bolivia, in the fields of carbon sequestration, protection of watershed services, biodiversity and aesthetic landscape values. The report concludes that while none of the generally young initiatives adhere fully to the principle of PES as developed in the theoretical literature, many experiment with some of the relevant PES mechanisms. Protection of watersheds and landscape values are the most common types, though the implementing intermediaries often have underlying biodiversity-protection goals. Main obstacles to PES implementation include ideological resistance against the PES concept, the difficulty of building trust between buyers and sellers, and limited willingness to pay on behalf of service users. During their relatively short lifetime, basically all initiatives had been successful in making service sellers (PES recipients) better off in economic terms, while the effectiveness in achieving environmental objectives and securing positive social impacts so far remained more variable. In some cases, redesigning these initiatives to bring them closer to the full PES principles could also enable them to more effectively achieve positive environmental and livelihood outcomes.
