One major aspect of such strategies is Merger and Acquisition, commonly known as M&A, widely used by the organizations. Where Merger is a mutually agreed decision by the companies, Acquisitions are the takeovers or unwilling deals between the organizations. Major benefit as considered by any organization is the benefit of synergy i.e., creating value which is greater than the simple total of its parts. Experiencing for other benefits such as entering in new market, cost reduction, cross selling, risk diversification, increasing shareholder's value, M&A can be done within the industry or outside the industry. Reports on daily basis provided by media for various update of any of the industry either bollywood for latest releases, sports for world cup matches or stock market for ups and downs. Banking Industry in India is also in news for its various deals of Mergers and Acquisitions from long years back. Various mergers have taken place in the industry such as State Bank of India acquired Bank of Bihar Ltd and National Bank of Lahore in the year 1969 and 1970 respectively. ICICI Bank has done many mergers with different banks. It got started to acquire banks in 2001 with Bank of Madura Ltd, in 2002 with ICICI Personal Finance Services Ltd and ICICI Capital Services Ltd, in 2007 with Sangli Bank Ltd., in 2010 with the Bank of Rajasthan (BoR). This paper focuses on one of these mergers i.e., ICICI Bank (Acquirer) and The Bank of Rajasthan (Target). The main objective of this paper is to analyze financial performance of ICICI bank pre and post-merger. Financial performance has been analyzed with the help of ratios specifically in the areas of profitability, Liquidity and Leverage. Further T-test has been used to determine the significance differences in these financial performance areas. Analyses show that there is a significant benefit has been achieved by ICICI Bank after the merger. Analysis also shows that there is significant improvement in company's return on equity, interest coverage, earnings per share and dividend per share in post merger period.

In the past two decades, there has been an upsurge in the volume of M&A activity in diverse sectors such as finance, pharmaceuticals, telecom, FMCG and banking sector. The banking industry has also witnessed its own share of M&A activity. The paper is an attempt to analyze the effect of mergers on the pre and post merger performance of Indian Banks. Various ratios along with event study methodology have been used to find out the effect of mergers and acquisitions on the performance of acquiring firms for both pre and post-acquisition periods. The results provide no statistically significant evidence of any impact of mergers and acquisitions on the firm profitability as measured through various ratios.

It looks closely at the managerial dimensions in terms of the efficacy of merger implementation, notably the merger integration process. The focus is on enhancing shareholder value creation and the execution of strategies for the successful management of mergers. It also has a strong public-policy component in this "special" industry where successes can pay dividends and failures can cause serious problems that reach well beyond the financial services industry itself. The financial services sector is about halfway through one of the most dramatic periods of restructuring ever undergone by a major global industry. The impact of the restructuring has carried well beyond shareholders of the firms and involved into the domain of regulation and public policy as well as global competitive performance and economic growth. Financial services are a center of gravity of economic restructuring activity. M&A transactions in the financial sector comprise a surprisingly large share of the value of merger activity worldwide -- including only deals valued in excess of $100 million, during the period 1985-2000 there were approximately 233,700 M&A transactions worldwide in all industries, for a total volume of $15.8 trillion. Of this total, there were 166,200 mergers in the financial services industry (49.7%), valued at $8.5 trillion (54%). In all of restructuring frenzy, the financial sector has probably had far more than its share of strategic transactions that have failed or performed far below potential because of mistakes in basic strategy or mistakes in post-merger integration. It has also had its share of rousing successes. This book considers the key managerial issues, focusing on M&A transactions as a key tool of business strategy - "doing the right thing" to augment shareholder value. But in addition, the degree of integration required and the historic development of integration capabilities on the part of the acquiring firm, disruptions in human resources and firm leadership, cultural issues, timeliness of decision-making and interface management have co-equal importance - "doing it right."

Furthermore, from a strategic management perspective the role of strategic similarities is analyzed. Performance enhancing effects are found from a synergy and market power theory perspective in terms of a reduction in interest costs. Furthermore, problems with synergy gains in the area of personnel costs are discovered. These are so serious that they have hampered a significant change in overall bank performance. A change in market power is also measured in terms of a significant increase in other operating income. It is not possible to detect any significant change in agency related costs. Further, I describe that strategic similarities and size differences are not leading to increased profitability. Instead, differences in diversity of earnings are found to be performance enhancing. Therefore, the previously described increase in other operating income can also be facilitated by economies of scope: services that are originally only provided to the customers of one bank are in the post-merger period provided to the united institute’s combined customer base.

Book excerpt: We examine a large panel of more than 100 banks from Argentina to study the effects of bank consolidation on performance between December 1995 and December 2000, a period of heavy bank consolidation and relative calm. Overall, we find a positive and significant effect of bank consolidation on bank performance. Bank returns increase with consolidation, and insolvency risk is reduced. Additionally, the study suggests that mergers and privatizations have a beneficial effect on bank returns. The effects of a bank acquisition on return on equity is, however, negative. Acquisitions do not seem to have any effect on risk-adjusted returns. The study also finds that a bank's insolvency risk is reduced significantly through mergers and privatization and is unrelated to bank acquisitions.

At the end of 2000 the top five banks ranked by total assets were: Sumitomo Mitsui Banking Corp., Japan (958,189), CitiGroup, USA (902,210), Deutsche Bank Group, Germany (882,577), HSBC Holdings, U.K. (673,814) and Bayerische HypoVereinsbank, Germany (672,720). These newly-formed banking groups arose from mergers and acquisitions (M&As) and therefore they are good examples for all the M&As that have taken place in the banking sector worldwide in recent years. In this scientific paper the M&A activity in the banking sector is being analysed on a global basis and, where appropriate, with a special focus on European activities. To do so, the following procedure has been chosen: After the presentation of typical patterns of consolidation the main causes of consolidation and risks arising from M&As will be examined. Afterwards the economical results of the M&A process will be analysed to give a conclusion and an estimation on future activities

Book excerpt: This bachelor thesis analyses efficiency effects of mergers and acquisitions in the US banking industry. For that reason 99 mergers and acquisitions are examined that have taken place during 2000-2010. Performance-adjusted accounting data of 99 US acquirers is analyzed in a univariate research model on the one hand and in a multivariate multiple-linear-regression model on the other hand. Results suggest that there is no observable improvement in post-merger efficiency and post-merger performance. In fact, performance even worsens slightly in the post-merger period. Merging banks are facing increasing costs while income does not change significantly. This decrease in performance is attributable to the negative effects of the financial crisis, which had a significantly negative influence on post-merger performance of merging banks.

Book excerpt: Historians of our financial system will record this as an age of deregulation and bank mergers. Deregulation, a cornerstone of President Reagan's Administration, resulted in federal and state legislation that contributed to increased competition for financial services and increased merger activity. During the 1981-1986 period, there were 2,139 mergers in banking and finance, accounting for 16 percent of total merger activity.l More mergers occurred in banking and finance than in any other industry. Because of these bank mergers, there are vast amounts of data avail able for scholarly research. This book presents some results of that research which will be of interest to academics, bankers, investors, legislators, and regulators. The book consists of ten articles, and it is divided into three parts. Part 1: National and Regional Bank Mergers gives a broad perspective of merger activity. The first article by Peter S. Rose compared the growth of bank holding companies that merged with those that did not merge. One conclusion of his study was that banks planning mergers tended to be aggressively managed and were often beset by problems, such as low profitability or declining loan quality. Mergers were one solution to their problems. But he found no solid evidence that mergers resulted in greater profitability or reduced risk. He also observed that acquiring banks did not seem to grow faster than those choosing not to merge.
