The economic function of all three contracts is that they are instrumental in bringing products to the market. They are so-called vertical agreements, as they are agreements between economic actors on different levels in the production and distribution chain. Obviously, the economic importance of these contracts is enormous since they form the connection between producers and retailers who sell the products to consumers and other final users. There are only very few economic sectors where producers regularly sell their products directly to final consumer users. Goodwill compensation after the ending of a distribution contract, the moment at which the agent's commission is due, the franchisor's obligation to maintain the good reputation of the network are but a few examples of issues where specific rules are needed in order to give legal practice some guidance and to provide practitioners with a reasonable degree of legal certainty.

Book excerpt: Le contrat d'agent commercial constitue l'un des contrats les plus atypiques de notre environnement juridique. L'agent commercial bénéficie en effet d'un statut légal singulier. Fruit d'une lente élaboration, ce statut a été modifié par la loi du 25 juin 1991 dont les principes rompent avec le droit des obligations. Il résulte un régime particulièrement protecteur, inspiré du droit du travail, qui éloigne ce contrat de la pratique commerciale, alors que l'agent commercial est pleinement immergé dans le monde des affaires. La loi du 25 juin 1991 offre à l'agent un quasi-droit au contrat, en systématisant son droit à indemnité et en patrimonialisant son contrat. C'est donc avec une grande réticence que les industriels se résolvent aujourd'hui à utiliser des agents commerciaux, malgré les avantages que présente l'agence commerciale, en leur permettant de confier à un professionnel indépendant le développement de leur clientèle tout en maîtrisant leur circuit de distribution. Le statut de l'agence commerciale résulte cependant d'une confusion fondamentale. Il repose en effet sur l'idée erronée que l'agent commercial est un mandataire assujetti au pouvoir des industriels et démuni face à leurs instructions. Or, il n'en est rien. L'agent commercial est un professionnel indépendant dont la mission est de créer un courant d'affaires, agissant plus souvent comme prestataire de services que comme mandataire et qualifié d'"entreprise" au sens du droit économique. La protection excessive qui lui est accordée ne correspond pas à la nature réelle de l'agence commerciale et n'a donc pas de sens au regard des principes du droit civil. Un rééquilibrage de la relation d'agence s'impose donc comme une nécessité impérieuse. Il passe par une application restrictive de la loi de 1991 et par une approche nouvelle de l'agence commerciale, plus conforme à la pratique et au droit des obligations.
