Book excerpt: Since 2002, listed German corporations are legally obligated to declare annually their degree of conformity to the German Corporate Governance Code (GCGC). For a sample of (big) publicly traded German companies listed in DAX 30 and MDAX we examine whether there is a pricing effect connected to the degree of compliance with the GCGC. Adding an indicator variable measuring the degree of compliance into common value relevance regression models does not give a consistent answer to the question whether the declarations provide value relevant information. We trace this finding to an endogeneity problem as the degree of compliance itself can be explained by a set of firm characteristics. Considering this endogeneity bias reveals that, in fact, the degree of compliance with the Code is value relevant information. This is consistent with the hypothesis that there are capital market incentives (or pressure) that might lead to a broad adoption of the code's recommendations even though the enforcement mechanisms connected to the code are relatively weak.

Book excerpt: Purpose - This paper aims to provide insight whether disclosed compliance with the German Corporate Governance Code (GCGC) leads to higher valuation on the German stock market.Design/methodology/approach - Based on agency theory, stakeholder theory and institutional theory the authors conduct a meta-analysis and evaluate the value relevance of the compliance with the GCGC.Findings - The research finds that compliance with the GCGC is mainly not a value-relevant factor for German companies listed at the Frankfurt Stock Exchange.Research limitations/applications - The research considered is not fully comparable with regard to observation date, fully integration of the GCGC rules and company selection/sample size. Future research is encouraged to research the valuation effects of compliance with the GCGC for a longer time horizon, the use of uniform performance measures and the integration of all GCGC rules.Practical implications - Compliance with the GCGC has not proven to be a value-driver for German listed companies. We recommend companies to search for opportunities to make their corporate governance more comprehensive by expanding their corporate governance reporting and thus providing deeper insights on how their processes of management and control work.Originality/value - The paper is the first investigation integrating the results of ten years of 'code compliance - market valuation' research in Germany. We detect reasons why the enforcement mechanism of soft law regulation by corporate governance codes did not function on the German stock market, yet and address behavioral aspects why investors do not give enough relevance to companies' corporate governance states so far.

With the increasing relevance of capital markets this subject comes more into the focus of the public. Particularly, the fast growing importance of institutional investors is a key factor which helps to explain the changing attitude of managers towards shareholders and corporate governance. In conjunction with the German capital market, a wide variety of mismanagement in German public limited companies has revealed shortfalls of German top-management and corporate control in the last decade. This development was of fundamental importance for the development of the German Corporate Governance Code. Hence, the basic underlying of corporate governance can be attributed to a conflict between the management of a listed corporation and its owners. More precisely, this conflict arises because the management does not adequately comprise the interests of shareholders. In Germany, assets under management of professional investors have increased at 92 percent from 1990 to 2001.1 In addition, a growing administration of private savings by professional fund managers as well as the intensified exercise of influence by institutional investors on corporate governance and corporate management respectively corporate strategy is observable. Similarly, a growing importance of institutional investors could be observed in the United Kingdom as well as in the United States. Within academic literature, the issue of activism by institutional investors in Germany is analyzed little, so far. Furthermore, there are only a few surveys on the outcome of the influence by institutional investors on corporate management. Therefore, this thesis aims to answer the following questions: 1. How was the development of shareholder activism in Germany and how can it be characterized and explained? 2. Is shareholder activism a superior tool in relation to the market of corporate control to solve the principal-agent problem? 3. What do institutional investors demand from German corporations and in particular from corporate management? 4. Which options do institutional investors have to influence corporate management? 5. How are these options for activism covered by the German Corporate Governance Code and the German legal framework? 6. What is the optimum corporate governance from an institutional investor’s angle? 7. What is the empirical outcome?
