From a philosophical perspective, society has experienced a gradual paradigm shift which intensified after the Second World War with the advent of the information era. As a fundamental part of an inescapable, hegemonic capitalist system and given the insistent emphasis on it as a moral imperative, transparency, this book avers, needs to be examined and challenged as to its true governance value in building a sustainable twenty-first century society. Rather than clinging to the fantasy of complete transparency as the only form of accountability, corporate governance is strengthened in this way by practicing true social responsibility, which emerges not from outward-looking compliance but from a deeper place in the corporate psyche through inward-looking contemplation and the development of moral maturity.

Book excerpt: While specific corporate governance rules often are controversial, most observers agree on the need to disclose who owns and controls a firm and what governance arrangements are in place. This paper examines such disclosure in a sample of 370 companies listed on stock exchanges in Central and Eastern Europe. The data show widespread non-disclosure of even the most basic elements of corporate governance arrangements, despite existing regulation. The level of disclosure varies substantially across firms, and there is a strong country effect in what companies disclose. Overall, what is disclosed depends on the legal framework and practice in a given country, but it does not correlate with firms' financial performance. On the other hand, financial performance is strongly related with how easily available the information is to the public. In particular, information is more available in larger firms, firms with lower leverage, higher market-to-book ratios, and more concentrated ownership.

Book excerpt: We examine the link between corporate governance, companies' disclosure practices and their equity market transparency in a study of more than 5,000 listed companies in 23 countries covering the period 1 January 2003 to 31 December 2008. Our results confirm the belief that better-governed firms make more frequent disclosures to the market. We also find greater disclosure in common law relative to code law countries. However firms with better governance in both code and common law countries make more frequent disclosures. We measure market transparency by the timeliness of prices. In contrast to single country studies, results show, for the 23 countries collectively, better corporate governance is associated with less timely share prices. This would suggest that a firm substitutes better corporate governance for transparency. We are thus led to the conclusion that even if information is disclosed more frequently by better-governed firms, it does not necessarily follow that information is reflected in share prices on a timelier basis.

This particular metaphor invokes two ideas that are important for understanding the current state of the debate surrounding corporate governance. Firstly, it captures the fragile facade of corporate governance today. There is no doubt that a house of cards is impressive, but the removal of one card reveals the fundamental weakness of the whole structure. Beneath the impressive outward facade of contemporary corporate governance, there are similar structural weaknesses.Secondly, the metaphor of a house of cards alludes to the recent Netflix TV show and the Machiavellian intrigues that surround the power-hungry Democratic congressman, and later President, Francis "Frank" Underwood, as portrayed by Kevin Spacey. His self-serving machinations seem designed to expose the gap between the glossy image and base reality of contemporary US politics. The pertinent point in this context is the way in which the discourse and practice of contemporary corporate governance contributes to the creation of a similar false reality surrounding business regulation.In order to clarify the metaphor in more detail, this paper focuses on the issues of "disclosure, transparency and ownership" as examples of how the current framework is broken. The problems with the current approach to transparency and ownership - namely more rules leading to a "one-size-fits-all" approach, herd behavior and standardization - are illustrative of some more general problems with the contemporary regulation of corporate governance. But rather than simply diagnose the problem with the existing framework, this paper develops an alternative regulatory approach that is more likely to be effective. The paper begins by reviewing contemporary discussion on ownership and control (II-III), before discussing the results of an extensive empirical survey of the annual reports of 280 companies in fourteen jurisdictions (IV) and introducing an alternative disclosure model for "new generation firms" (V-VI).

Book excerpt: We investigate the quot;transparencyquot; (i.e., the level of detail) of CEO compensation disclosures by Australian firms following regulatory changes in July 1998. After controlling for other possible economic determinants of disclosure, we find that transparency is negatively related to the level of size-adjusted compensation. We also find that transparency increases with firm size and (weakly) with performance. There is also evidence of a quot;persuasion effectquot;, in that disclosures made after the release of regulatory quot;guidelinesquot; are more transparent. However, we find no evidence of specific corporate governance attributes (i.e., separation of the CEO and chair roles, auditor quality, board composition, the existence and structure of board committees) being associated with more transparent disclosures. Nor do we find any evidence of transparency being associated with the mix of cash and stock-based compensation. Although there is some indirect evidence of a negative relation between blockholder ownership and disclosure transparency, we find no significant relation with insider ownership. Overall, our results are consistent with corporate governance mechanisms having minimal impact on disclosure where there are potential conflicts of interest between the CEO and outside shareholders.
