Book excerpt: La cadena de bloques y los smart contracts se hallan hoy en boca de todos y, en nuestra opinión, son muchos los motivos para ello por cuanto constituyen, ciertamente, una tecnología disruptiva y con un extraordinario potencial. Sin embargo, se hace necesario conocer en profundidad sus fundamentos tecnológicos, su verdadero alcance y su posible integración en el mundo jurídico, para lo que es preciso poner los pies en el suelo y aceptar de una vez por todas que, en este asunto, el Derecho y la Informática están condenados a entenderse. Los smart contracts son “código y nada más que código”, no obstante lo cual, la mayoría de ellos son creados con la finalidad de ejecutar automáticamente los acuerdos alcanzados por las partes. Para ello, se requiere una nueva categoría, el contrato legal inteligente, que existirá única y exclusivamente en el instante en que las partes acepten los términos y condiciones previamente acordados. El contrato legal inteligente se construye sobre la estructura de un smart contract subyacente, pero su alcance va mucho más allá, por lo que es imprescindible el análisis de su formación y de los elementos que imperativamente lo componen. El incumplimiento de los requisitos legales conducirá, inevitablemente, a los smart contracts ante los órganos jurisdiccionales, e irrogará perjuicios absolutamente innecesarios.

No obstante, a pesar del entusiasmo que han provocado los contratos inteligentes, estos también han incitado muchas inquietudes, en especial para la ciencia del derecho, pues si bien su aplicación promete revolucionar las relaciones de los sectores industriales modernos y las relaciones entre particulares, también han generado cuestionamientos sobre su validez, naturaleza jurídica, libertad negocial, disciplina normativa, coherencia con el derecho privado, interpretación y posibilidad de revisión judicial, entre otros temas que requieren respuesta por parte de la doctrina jurídica. Con el propósito de contribuir a la temática desde el punto de vista jurídico, el presente libro describe las características técnicas y funcionales de los contratos inteligentes, su naturaleza jurídica, función económica, sus principios y elementos constitutivos, así como el alcance y los límites que tiene la autonomía privada para su celebración y ejecución bajo el amparo del ordenamiento jurídico colombiano.

Book excerpt: El apoyo de la Blockchain a la actividad contractual dificulta la aplicación de la nulidad absoluta por objeto ilícito como siempre ha sido definida: como un supuesto de ineficacia por invalidez. Lo anterior ocurre al impedirse: (i) determinar la ley aplicable, debido a la descentralización de la Blockchain; (ii) identificar a las partes, en razón a su pseudoanonimato; (iii) interpretar el contenido del contrato, por la tecnificación del lenguaje; (iv) suprimir los efectos del contrato, por la irreversibilidad de la transacción. La presente investigación busca explorar las premisas del problema identificado con el fin de presentar soluciones concretas. Con este fin, se definirá al Smart-Contract como un medio de expresión de un contrato ordinario; lo anterior, advirtiendo que las normas que disciplinan su formación, si bien son válidas, no son eficaces en la Blockchain. Así, la relación entre la Blockchain y la actividad contractual se enmarca en un dilema entre validez y eficacia que impide que las soluciones tradicionales puedan utilizarse sin considerar el ambiente técnico en el que deberían aplicarse. Para reconciliar la validez de las normas con su eficacia en la Blockchain, se argumentará que la solución exige una redefinición del concepto de nulidad absoluta que no someta la eficacia del remedio a la ineficacia del contrato viciado; además, se advertirá que es necesaria una institucionalización de baja intensidad de la Blockchain que le permita al Estado ofrecer su autoridad, ya no coactivamente, sino como un servicio alternativo, mucho más completo y dotado de certeza jurídica, para la protección de las expectativas normativas fundamentales asociadas al contrato como institución de forma ex ante o ex post. De lo que se trata es de resaltar que ni la regulación ni las reglas de la tecnología pueden ser inflexibles cuando de alcanzar una solución justa a una problemática asociada al contrato se trata. Tanto la tecnología como la autoridad del Estado deben graduar su injerencia en la actividad contractual para permitirle a los individuos satisfacer sus intereses sin que eso signifique una renuncia a los beneficios de la tecnología o las protecciones y garantías fundamentales asociadas con la regulación.
