Book excerpt: This study investigates the interfaces and integration between tax strategy and corporate strategy in the foreign direct investment (FDI) decision process of UK multinational firms. Drawing on the prior literature, it aims to develop a better understanding of: (i) the role of tax in the FDI decision making process; (ii) the stages at which tax issues are considered in the decision making; and (iii) the processes by which the FDI strategic decisions are made. Data were collected by means of a web- based survey using Survey Monkey. The FAME database served to provide the main sampling frame for the data collection. A total of 192 usable responses were obtained for data analysis. The relevance of taxation in the FDI strategic decision process has not generally been addressed in UK academic literature, so little is known about the processes by and stages at which FDI decisions vis-a-vis taxation are made. It is clear from the data analysis undertaken, for example, that tax is not a driving factor in strategic decisions, but one of many factors considered, and that multinationals do not take decisions based on tax criteria alone. The thesis can thus refute, for instance, popular perceptions that multinationals' behaviour makes exploitative use of tax avoidance schemes and devices, which is typically not supported by empirical evidence. The research findings suggest that tax strategy is part of corporate strategy in the FDI decision process. The findings show that tax incentives are not an important motive for FDI compared with other business-oriented motives, which play more important roles in the FDI decision making process. The study's findings add topical and original elements to the development of academic literature in this area and are also of practical significance.

Book excerpt: Despite the centrality of FDI phenomena in IB research, we still have a limited understanding of the underlying managerial activities and interactions that generate FDI decisions. Extant theories of FDI focus on determining the necessary conditions for FDI to occur, while neglecting the actual decision process and the role of managers in shaping the FDI outcome. To address this lacuna in the literature, a qualitative multiple case study collected data through in-depth narrative interviews with multiple participants in ten MNEs to retrospectively study how the FDI decision process unfolded in each case. The thesis provides a detailed understanding of the FDI decision process in MNEs. Such perspective entails a shift from conceiving FDI as “a point-of-time ‘go/no-go’ decision” to a process view in which MNE actors work together in time to reach a decision. As such, the thesis brings a focus on the activities and interactions performed by actors during the FDI decision process. Based on the research findings, the thesis contributes to the IB literature by providing further insights into the processes, activities, and interactions which lead to FDI decisions. A strong structuration framework is proposed to explain the different trajectories that an FDI decision can take in different MNEs through the interrelations of three elements: (1) external structures which constitute the external conditions of actors’ actions; (2) MNE’s meaning structures which represent the firm’s institutionalized practices; (3) internal structures which consist of actors’ general dispositions and their conjuncturally-specific knowledge of the terrain in which action unfolds. The interrelations between these elements at a certain conjuncture shape actors’ activities and the way they relate to their MNE’s meaning structures leading them to follow or depart from their MNE’s institutionalized practices. Two FDI decision trajectory types were identified; an induced and an autonomous trajectory, within each, the structures were configured in different ways and the actions and interactions performed by actors were also different. Building on these findings, the thesis provides several theoretical and practical implications to the IB literature and MNE managers and policy makers.

Investment arbitration tribunals have developed a specialised process of legal decision making adapted to the interpretational needs that arise in the context of an investor-state dispute and to the transnational characteristics of the investment arbitration framework. This is the first book to offer an in-depth analysis of the transnational characteristics of investment arbitration and to analyse the interpretive arguments of investment tribunals and the way they use treaties, precedent, policies, general principles of law and customary law in their decision-making process. Drawing on publicly available arbitral case law supplemented with personal interviews with investment arbitrators, the author touches on such concepts and practices as the following: - an overview of various decision-making genres of arbitral tribunals: attitudinal, economic, strategic and legal; - the legal argumentation triptych of language–rhetoric–dialogue; - the specific language arbitrators have developed when interpreting the law; - how arbitrators use the concepts 'standards', 'rules', 'principles' and 'rights'; - the importance of the legal reasoning of arbitral awards and the role of rhetoric therein; - concepts of 'acceptability', 'audience' and 'legitimacy'; - limitations of the public international law interpretive methodology enshrined in the Vienna Convention; - interpretation of precedents, customary law, general principles of law and policies; - the way national and international legal orders interact in the context of interpretation; and - how decision-making is connected to the issues of predictability, consistency and the rule of law. The core of the book proposes a novel, full- edged dialogical network theory for analysing the interpretation process. As an exemplary demonstration of developing theory to keep up with practice, this unique book provides a deeply engaged means for enhancing the practice of international arbitration. Its introduction of a new field of interdisciplinary analysis employing legal argumentation theories is sure to provide inestimable guidance for institutions and policymakers, especially in light of recent proposals for the creation of a permanent investment arbitration court. Given that unveiling the legal decision-making process is critical for the well-being of the whole dispute resolution procedure, and that being aware of how arbitrators interpret the law can constitute a roadmap for counsel's arguments and approaches when dealing with cross-border disputes, the topic of this book is relevant for both academics and practitioners, and its signifcance can only grow as recourse to investor-state arbitration continues to expand.
