After arriving in Great Britain the discussion subsequently spread to Continental Europe. In Germany, the effective supervision of corporations became a central topic of debate after several well-known corporations came under scrutiny for mismanagement. In such cases the corporations supervisory boards were criticised in particular, as their supervision of management was considered insufficient and ineffective. The relation between management and owners of a corporation represents the basic problem of the corporate governance discussion. The management of a corporation must take the interests of large-scale investors and, accordingly, the interests of smaller investors into consideration. Against this background, the influence of the stakeholders is repressed. The shareholder value system, thus, becomes increasingly important. Globalisation and the resulting integration of capital markets has caused more and more large institutional investors -especially, those from Anglo-Saxon countries- to put their financial assets to the test in order to check the efficiency of management and supervision. In Germany, in particular, effective regulations on corporate governance have been missing until now. In most of the other countries with a free market economy, a code of conduct with generally accepted principles is already in existence. These principles enable investors to check and to judge systematically a corporation in regard to its corporate governance. Corporations with transparent supervisory systems obtain clearly better stock quotations as corporations without those systems. Numerous surveys have found that institutional investors are willing to pay up to a 20 percent premium for shares of corporations with good corporate governance. Such investors maintain that transparency and efficient supervision reduce the risk of mismanagement. Due to both the internal pressure of mismanagement and the external change caused by the globalisation of capital markets, the corporate governance discussion in Germany has resulted in much effort to create a system of regulations to make Germany more attractive to international investors. No company symbolized the best and worst of that history more than the famous steel and arms maker. In this book, Harold James tells the story of the Krupp family and its industrial empire between the early nineteenth century and the present, and analyzes its transition from a family business to one owned by a nonprofit foundation. Krupp founded a small steel mill in 1811, which established the basis for one of the largest and most important companies in the world by the end of the century. Famously loyal to its highly paid workers, it rejected an exclusive focus on profit, but the company also played a central role in the armament of Nazi Germany and the firm's head was convicted as a war criminal at Nuremberg. Yet after the war Krupp managed to rebuild itself and become a symbol of Germany once again—this time open, economically successful, and socially responsible. Books on Krupp tend to either denounce it as a diabolical enterprise or celebrate its technical ingenuity. In contrast, James presents a balanced account, showing that the owners felt ambivalent about the company's military connection even while becoming more and more entangled in Germany's aggressive politics during the imperial era and the Third Reich. By placing the story of Krupp and its owners in a wide context, James also provides new insights into the political, social, and economic history of modern Germany.

Book excerpt: The book addresses the question of whether, in an age of internationalisation and globalisation, cultural differences are still relevant to German-Irish corporate relationships? The first three chapters establish the theoretical framework for the analysis by exploring the notion of culture, profiling the business cultures of both countries, and examining existing approaches to the study of parent company-foreign subsidiary relationships. In the following three chapters, using interviews carried out with two sample groups (fifteen German parent companies and fourteen of their Irish operations; seven Irish parent companies and nine of their German operations), the parent companies in both groups are examined to see whether they demonstrate characteristics which are in keeping with their national business cultures. Their foreign operations are then analysed as is the parent company-foreign subsidiary relationship to determine whether any parent company influences are visible. The general approaches adopted by the two groups of parent companies to their foreign operations are compared and contrasted. Finally differences in national attitudes and values are identified and their impact assessed.

Book excerpt: General Motors, the largest corporation on earth today, has been the owner since 1929 of Adam Opel AG, Russelsheim, the maker of Opel cars. Ford Motor Company in 1931 built the Ford Werke factory in Cologne, now the headquarters of European Ford. In this book, historians tell the astonishing story of what happened at Opel and Ford Werke under the Third Reich, and of the aftermath today. Long before the Second World War, key American executives at Ford and General Motors were eager to do business with Nazi Germany. Ford Werke and Opel became indispensable suppliers to the German armed forces, together providing most of the trucks that later motorized the Nazi attempt to conquer Europe. After the outbreak of war in 1939, Opel converted its largest factory to warplane parts production, and both companies set up extensive maintenance and repair networks to help keep the war machine on wheels. During the war, the Nazi Reich used millions of POWs, civilians from German-occupied countries, and concentration camp prisoners as forced laborers in the German homefront economy. Starting in 1940, Ford Werke and Opel also made use of thousands of forced laborers. POWs and civilian detainees, deported to Germany by the Nazi authorities, were kept at private camps owned and managed by the companies. In the longest section of the book, ten people who were forced to work at Ford Werke recall their experiences in oral testimonies. For more than fifty years, legal and political obstacles frustrated efforts to gain compensation for Nazi-era forced labor; in the most recent case, a $12 billion lawsuit was filed against the computer giant I.B.M. by a group of Gypsy organizations. In 1998, former forced laborers filed dozens of class action lawsuits against German corporations in U.S. courts. The concluding chapter reviews the subsequent, immensely complex negotiations towards a settlement - which involved Germany, the United States, Poland, Russia, Ukraine, Belarus, Czech Republic, Israel and several other countries, as well as dozens of well-known German corporations.
