Book The Anatomy of Corporate Law

Download or read book The Anatomy of Corporate Law written by Reinier Kraakman and published by OUP Oxford. This book was released on 2009-07-23 with total page 578 pages. Available in PDF, EPUB and Kindle. Book excerpt: This is the long-awaited second edition of this highly regarded comparative overview of corporate law. This edition has been comprehensively updated to reflect profound changes in corporate law. It now includes consideration of additional matters such as the highly topical issue of enforcement in corporate law, and explores the continued convergence of corporate law across jurisdictions. The authors start from the premise that corporate (or company) law across jurisdictions addresses the same three basic agency problems: (1) the opportunism of managers vis-à-vis shareholders; (2) the opportunism of controlling shareholders vis-à-vis minority shareholders; and (3) the opportunism of shareholders as a class vis-à-vis other corporate constituencies, such as corporate creditors and employees. Every jurisdiction must address these problems in a variety of contexts, framed by the corporation's internal dynamics and its interactions with the product, labor, capital, and takeover markets. The authors' central claim, however, is that corporate (or company) forms are fundamentally similar and that, to a surprising degree, jurisdictions pick from among the same handful of legal strategies to address the three basic agency issues. This book explains in detail how (and why) the principal European jurisdictions, Japan, and the United States sometimes select identical legal strategies to address a given corporate law problem, and sometimes make divergent choices. After an introductory discussion of agency issues and legal strategies, the book addresses the basic governance structure of the corporation, including the powers of the board of directors and the shareholders meeting. It proceeds to creditor protection measures, related-party transactions, and fundamental corporate actions such as mergers and charter amendments. Finally, it concludes with an examination of friendly acquisitions, hostile takeovers, and the regulation of the capital markets.

Book Business Law and Organizations for Paralegals

Download or read book Business Law and Organizations for Paralegals written by Emily Lynch Morissette and published by . This book was released on 2016 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: What makes Business Law and Organizations for Paralegals incredibly different than the other books in this field is that it covers a large variety of subjects important to corporate law, as well as the basics of corporate law, while doing so in a manageable number of pages and at an affordable price. The additional aspects covered in this book, which are of great importance to the practice of corporate law, include employment law, intellectual property law, contracts, investing, the business entity as a litigant, and corporate ethics. This book could be used to teach those subjects, especially intellectual property, in addition to corporate law, thus reducing the necessity of students buying two books for two separate classes. Even if these subjects are not covered in additional classes, it is extremely important with the current economy to introduce students to a wide variety of subjects so as to increase their job prospects. For example, intellectual property is currently one of the fastest growing segments of our economy. The second edition of Business Law and Organizations for Paralegals provides updates on new legal changes, especially in the law of Limited Liability Companies. In addition, both the teacher's manual and the textbook have more state-specific information, for each state in the nation. Some of the additional subjects are covered to provide students with a basis of knowledge for their own benefit, such as investing. While some students may not be interested in the basics of corporate law, most are interested in investing, which is something that can apply to them individually. The basics of corporate law is also well-covered, including sole proprietorships, general partnerships, limited partnerships, limited liability partnerships, limited liability companies, and for-profit corporations (with several chapters covering for-profit corporations). The following Teaching Materials are available: Test bank in Word, Blackboard-compatible and Moodle formats available. Other LMS formats are available through Respondus. Teacher's Manual pdf with outlines, review questions and exercises. PowerPoint slides are available upon adoption. Sample slides from the full 338-slide presentation are available to view here. Email [email protected] for more information. "Professor Morissette's expertise shines through in this complete and clear discussion of business law. She does a masterful job of balancing practice and theory. Her engaging discussions of intellectual property and litigation set this text apart from the competition. This book deserves my wholehearted endorsement." -- D. Patrick O'Laughlin, University of San Diego "The opening chapter of this textbook started as it should, and as many do not, with agency. From there on out it provided an insightful and fresh look at the concepts covered...The text also contains useful tools for the students. The chapter exercises involving critical thinking, for example, are one key to helping educators develop paralegals who have a foundation for success." -- Mary Teresa Sesson, Cuyamaca College

  • Author : Charles M. Fox
  • Publisher : Practising Law Institute
  • Release : 2002
  • ISBN : 9781402401589
  • Pages : 312 pages

Download or read book Working with Contracts written by Charles M. Fox and published by Practising Law Institute. This book was released on 2002 with total page 312 pages. Available in PDF, EPUB and Kindle. Book excerpt: Contract drafting is different from the other types of writing that a new lawyer is faced with. Law school contracts classes rarely consider the issues that arise in sophisticated commercial transactions. A new lawyer is therefore forced to learn by doing and observing -- in high-pressure 'on the job' training. Now there is help. Working with Contracts: What Law School Doesn't Teach You provides the beginning lawyer with an operative understanding of the vocabulary and the building blocks of contracts. It introduces the basic elements of all contracts; describes the lawyer's role in the drafting and negotiating process; discusses amendments, waivers, and consents; and addresses issues that arise in reviewing contracts, including due diligence issues. It also offers sample provisions, drafting checklists, and an expansive glossary of contract language and basic transactional practice.

Book Dynamic Business Law The Essentials

Download or read book Dynamic Business Law The Essentials written by Linda Barkacs and published by McGraw-Hill Education. This book was released on 2015-01-13 with total page 656 pages. Available in PDF, EPUB and Kindle. Book excerpt: Dynamic Business Law: The Essentials is appropriate for the one-semester Business Law course. It contains the basics of business law but does not get bogged down in the kind of details that are more appropriate in an upper-level law class. The text provides an examination of the basic questions, concepts, and legal rules of business law. Emphasis on the BUSINESS in business law. Dynamic Business Law: The Essentials emphasizes the tie of legal issues back to the core business curriculum. This will help both students and faculty. Faculty need to know how this is integrated as they are constantly ‘defending’ the inclusion of this course in the business curriculum. And students need to understand how the concepts tie to their future business careers. Emphasis on TEACHING. Many professors teaching this course are attorneys first and academics second. They do not have a lot of time to prepare or think about how to apply this information effectively for their business students. Dynamic Business Law: The Essentials contains a helpful instructor’s manual, particularly for the many adjuncts teaching this course. Emphasis on CRITICAL THINKING. Neil Browne, one of the co-authors of this text, has written a successful text on critical thinking. His framework is included in Dynamic Business Law: The Essentials as well – to help students learn how to frame and reframe a question/issue. Critical thinking questions are also included at the end of each case, to tie in this component even further.

Available in PDF, EPUB and Kindle. Book excerpt: The past decade has brought certain corporate transactions and arrangements to the forefront of public attention and debate. At the same time, a new mode of corporate law analysis has been developed--one that uses economics to identify the consequences and desirable features of corporate law rules. This collection of papers uses economic analysis to study some of the main issues in corporate law. By collecting work at the frontier of this method of analysis, the volume provides a clear picture of the power, current state, and future direction of the economic analysis of corporate law. Written by some of the most prominent contributors to the field, many of the papers focus directly on the corporate control transactions that have attracted much interest and controversy in the past decade--corporate takeovers, buyouts, recapitalizations, and reorganizations.
