I find the evidence that firms that experience in high corporate governance quality are less likely to crash. Even after control year effect, the result still holds during 2015 to 2017. I also find that cumulative abnormal returns of stock of firms that experience in corporate governance quality downgraded significantly dropped following downgraded was announced while the reversal effects do not pronounce when firms experience in governance quality improved. This suggests that investors in Thailand stock market take the serious action only when negative shock in governance quality of firm is announced.

Book excerpt: This study investigates the relationship between information flow and corporate governance of Thai listed company during 2000-2007. The study uses corporate governance indices which capture major aspects of corporate governance that are board structure, conflict of interest, board responsibility, shareholder rights, and disclosure and transparency. The measurement of private information flow will use firm-specific return variation and Probability of information based trading (PIN) as alternatives of information flow. The results show that corporate governance is negatively related with private information flow. Strong corporate governance reduces private information flow relative to the public information. The better corporate governance will alleviate information based trading and reduce informational asymmetries. Moreover, this study indicates that board structure, conflict of interest , board responsibility are the sub-indices of corporate governance that have a negative relationship with private information flow while the rest sub-indices are not influence with information flow.

Book excerpt: Institutional investors have high influence on capital market so that this research aims to examine the influence of institutional shareholdings on corporate governance (CG) of the listed companies on the Stock Exchange of Thailand in the SET 100. Institutional shareholdings were categorized into four types as follows: 1. commercial banks, mutual funds, insurance companies, and securities public companies in Thailand (FIBTMF), 2. government agencies and state enterprises of Thailand (FIGV), 3. Foreign banks (FIBF), and 4. International investors (FIIN). The CG was measured by the CG scoring of Thai Institute of Directors Association (IOD). The study period covered 2013 to 2017. In addition, the data were analyzed by logistic regression analysis, separated into two models: the first model investigated overall institutional investors toward CG; whilst, the second model examined the four categories of institutional investors as earlier mentioned. As a result, the study revealed that the overall institutional investors had statistically positive influence on the CG at 0.05 level of significance. The second model exposed that government agencies and state enterprises of Thailand as well as international investors had statistically positive impact on the CG at 0.05 and 0.10 level of significance, respectively. Therefore, this research implied the important role of institutional investors toward the CG.
