Corporate governance interacts with auditing and it is useful to understand how corporate governance and auditing affect companies. However, the interaction is not straight forward. To some extent, good auditing will lead to recommendations that will lead to improved governance; while on the other hand, good governance will lead to directors setting high standards including demanding a high standard of auditing. A related issue is whether better governance is a substitute for auditing or a complement. Previous studies of that issue have had mixed results. This review article provides a synthesis of Australian and New Zealand research about corporate governance and auditing that takes stock of what has been found and examines issues that can be explored using multiple studies. We conclude that despite extensive research, there is still considerable uncertainty about the effects of corporate governance mechanisms on auditing and the effects of auditing on corporate governance. The results are intended to be helpful in providing advice about policy in Australia and New Zealand, and in determining directions for new research.

Most of the advanced economies have released new corporate governance rules and codes or company laws, especially as a result of the financial crisis in 2007 and the breakdown of several big companies worldwide. In Australia attention to corporate governance has grown after the „major corporate collapses and scandals of 2001 and 2002“, which included „five publicly traded (...) companies (...) [such as the] telecom company (One.Tel)“. One.Tel ran out of money and collapsed in 2001. The company could not be revived, all assets were sold and the workers laid off. It has once been the fourth largest telecom company in Australia. The collapse of the Australian company is „associated with serious deficiencies in its corporate governance, including weaknesses in internal control, (...) management communication with the board, and poor executive pay-to-performance link.“ In the first part, this paper will provide you with background information on the terms corporate governance and corporate control. The second part outlines corporate control in Australia by elaborating on the market for corporate control, monitoring by shareholders, monitoring by non-executives and renumeration.

Book excerpt: The main purpose of this article is to review and add to approximately fifty years of research on New Zealand listed companies from various disciplines. The main findings are not controversial - corporate governance standards are high by international standards. To be sure, there has been a rolling set of corporate failures in the finance company sector since the global financial crisis - principally involving non-listed finance companies issuing debt securities to the public - but these failures have been comprehensively addressed by recent legislative reforms. In this regard, the article will be of interest to corporate governance researchers seeking a topical review of corporate governance in a small, common law jurisdiction. A key commercial context, however, is supplied by the regional free trade agreement between New Zealand and Australia, the recent free trade agreement between Australia and the U.S. and the much mooted free trade agreement between New Zealand and the U.S. In the event that New Zealand and the USA do enter into a free trade agreement, it is reasonable to expect that USA corporations contemplating investment in New Zealand will take a much closer interest in corporate governance in New Zealand as part of their legal risk assessments.
