Book excerpt: Corporate governance has become one of the most popular phenomena that draw the worldwide attention recently as this issue has significant influences on the performance of almost every business. Regarding banking industry, the adoption of good corporate governance is much more vital, because a smooth and well-performed banking system lies at the heart of economic development in each country. This paper is to provide a deep look into the relationship between corporate governance and performance of banking sector, especially in two countries, namely Vietnam and Malaysia by presenting both theoretical framework and empirical study. The part of theoretical framework provides readers with profound knowledge about corporate governance in general as well as bank corporate governance in particular with two famous frameworks. In the empirical study section, a number of commercial banks in Vietnam and Malaysia have been randomly chosen as a sample to run econometric models which examine the effect of several variables of corporate governance on the bank performance. The overall result of study shows that board size, audit committee size, and capital adequacy ratio has a significant effect on both Vietnamese and Malaysian commercial banks and there exists the difference in the influence of some corporate governance proxies on the bank performance between Vietnam and Malaysia.

They argue that it is important to include indicators of all the relevant governance effects in the same model. "Nonrobustness" checks (which purposely exclude some indicators) support this argument. Using data from Argentina in the 1990s, their strongest and most robust results concern state ownership. State-owned banks have poor long-term performance (static effect), those undergoing privatization had particularly poor performance beforehand (selection effect), and these banks dramatically improved following privatization (dynamic effect. However, much of the measured improvement is likely due to placing nonperforming loans into residual entities, leaving "good" privatized banks.

It argues that within the banking sector exist two new agency costs (i.e., bank depositors and shareholders vs. directors and bank depositors vs. shareholders and directors). These agency problems are difficult to reduce for two reasons. First, banks are complex and opaque. Second, government implicit guarantees and the deposit insurance systems reduce the monitoring of depositors. This book also takes a deep dive into research on CG in the banking sector via a unique and innovative literature review covering the time period between 2000-2020. It finds that some specific CG characteristics affect banks: risk appetite, performance, accounting quality, compensation and corporate social responsibility disclosure. Furthermore, this publication contends that institutional investors are changing CG for the better, describing how major financial markets factors such as rating agencies and sell-side financial analysts make CG visible. Additionally, it investigates how managerial biases and irrational investors can affect CG negatively, leading to company distress. All-in-all, this book makes a threefold contribution: for regulators, it offers suggestions on how to improve banks’ supervision; for researchers, it suggests new research topics; and for practitioners, it connects CG theory with real cases of CG failure.

Book excerpt: This paper employs cash flow and accounting based measures to examine performance differences between privately-owned and state-owned banks in sixteen Far East countries from 1989 through 2004, a period including the 1997 Asian financial crisis. We find that state-owned banks operated less profitably, held less core capital, and had greater credit risk than privately-owned banks prior to 2001, and the performance differences are more significant in those countries with greater government involvement and political corruption in the banking system. In addition, from 1997 to 2000, the 4-year period after the beginning of the Asian financial crisis, the deterioration in the cash flow returns, core capital and credit quality of state-owned banks was significantly greater than that of privately-owned banks, and the contrast between the two types of banks during this period is especially sharp for the countries that were hardest hit by the Asian crisis. We also find that state-owned banks finance the government to a greater degree than do privately-owned banks in countries where the government is involved heavily in the banking system. However, state-owned banks closed the gap with privately-owned banks on cash flow returns, core capital, and nonperforming loans in the post-crisis period of 2001-2004. Taken together, our findings can best be explained by Shleifer and Vishny's (1997) corporate governance theory on government ownership of banks and Kane's (2000) life-cycle model of a regulation-induced banking crisis.
