Book Japanese Corporate Governance and the Market for Corporate Information Disclosure

Download or read book Japanese Corporate Governance and the Market for Corporate Information Disclosure written by Matt Nichol and published by . This book was released on 2013 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: Dark side private ordering dominated the market for corporate disclosure in Japan for much of the last century. But from the 1990s, 20 years of corporate and securities law reform has resulted in the gradual transformation of Japanese corporate governance, shifting towards a shareholder model of governance and a growing level of external monitoring of the traditional insider Japanese company. Due to restraints in the public enforcement of disclosure rules, sokaiya face growing competition from the proliferation in shareholder derivative actions and private ordering by the Kabunuishi Onbuzman (Shareholder Ombudsman) and activist media groups like Facta. Independent directors and auditors were added to the market for corporate information in 2010 but their effectiveness is restricted by formal and informal constraints. This article examines the increasingly competitive market for corporate information and disclosure in Japan.

Book Information Content of Internal Control Weaknesses

Download or read book Information Content of Internal Control Weaknesses written by Riku Nishizaki and published by . This book was released on 2016 with total page 51 pages. Available in PDF, EPUB and Kindle. Book excerpt: We examine Japanese stock market responses to the disclosure of internal control weaknesses (ICW), especially in relation to other information released around the disclosure date and to firm attributes. Japan is classified as a code-law country, where corporate disclosure tends to be less timely than in a common-law country. Indeed, for the first two years, the disclosure rate of ICW has been much lower in Japan than in the US. Our standard event study analysis shows that the mean cumulative abnormal returns for all firms disclosing ICW are not significantly different from zero. However, after controlling for firms with effective internal control, other information released around the disclosure date and firm attributes, we find that the disclosure of ICW negatively affects stock prices. Our results indicate that the disclosure of ICW is informative to the market, because it is rare and exceptional in Japan.

Book Corporate Governance in Japan

Download or read book Corporate Governance in Japan written by Masahiko Aoki and published by OUP Oxford. This book was released on 2007-09-06 with total page 480 pages. Available in PDF, EPUB and Kindle. Book excerpt: Debates regarding corporate governance have become increasingly important in Japan as the post-war model of bank-based, stakeholder-oriented corporate governance faces the new pressures associated with globalization and growing investor demands for shareholder value. Bringing together a group of leading scholars from economics, law, sociology and management studies, this book looks at how the Japanese approach to corporate governance and the firm have changed in the post-bubble era. The contributions offer a unique empirical exploration of why and how Japanese firms are reshaping their corporate governance arrangements, leading to greater diversity among firms and new 'hybrid' forms of corporate governance. The book concludes by looking at what effect these incremental but transformative changes may have on Japan's distinctive variety of capitalism.

Download or read book The Logic of Securities Law written by Nicholas L. Georgakopoulos and published by Cambridge University Press. This book was released on 2017-05-04 with total page 215 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book opens with a simple introduction to financial markets, attempting to understand the action and the players of Wall Street by comparing them to the action and the players of main street. Firstly, it explores the definition of a security by its function, the departure from the buyer beware environment of corporate law and the entrance into the seller disclose environment of securities law. Secondly, it shows that the cost of disclosure rules is justified by their capacity to combat irrationalities, fads, and panics. The third section explains how the structure of class actions is designed to improve deterrence. Next it explores the economic harm from insider trading and how the law fights it. In sum, the book shows how all these parts of securities law serve the virtuous cycle from liquidity to accurate prices and more trading and how the great recession showed that our securities regulation reacted mostly adequately to the crisis.
