Book Corporate Lawyers and Corporate Governance

Download or read book Corporate Lawyers and Corporate Governance written by Joan Loughrey and published by Cambridge University Press. This book was released on 2011-06-02 with total page 385 pages. Available in PDF, EPUB and Kindle. Book excerpt: This assessment of the corporate governance role of corporate lawyers in the UK analyses the extent to which lawyers can and should act as gatekeepers, counsellors and reputational intermediaries. Focusing on external and in-house lawyers' roles in both dispersed share-ownership and owner-managed companies, Joan Loughrey highlights the conflicts of interest that are endemic in corporate representation and examines how lawyers should respond when corporate agents provide instructions contrary to the company client's interests. She also considers the legitimacy of 'creative compliance', the ethical arguments for and against lawyers prioritising the public interest over their clients' interests, and their exposure to liability if they fail to perform a corporate governance role. Finally, she considers whether the reforms to the legal profession will promote the lawyer's corporate governance role and advances suggestions for reform.

Book Lawyering and Ethics for the Business Attorney

Download or read book Lawyering and Ethics for the Business Attorney written by Marc I. Steinberg and published by West Academic Publishing. This book was released on 2007 with total page 264 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book is a timely and useful supplement to such basic courses as Professional Responsibility, business enterprises, and even commercial law. It may also be assigned in such classes as securities regulation, business/corporate ethics, and inside counsel. Indeed, a course in ethics for the business attorney may adopt this book as its primary source. The book uses the problem method to provide a concrete mode of analysis. This method works nicely to bring reality to the scene and energize the students. Rather than discussing abstract issues in a vacuum, the problem method in this setting enables students to apply the book's materials to real situations. The book contains material devoted, for example, to the following subjects: 1) the role of the business lawyer; 2) identifying counsel's client; 3) client-fraud dilemmas; 4) conflicts of interest; 5) role of in-house counsel; 6) related party transactions; 7) internal investigations; and 8) basics of business practice.

Book The Client is King

    Book Details:

  • Publisher :
  • Release : 2014
  • ISBN :
  • Pages : 0 pages

Download or read book The Client is King written by Suzanne M. Le Mire and published by . This book was released on 2014 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: The advice provided by lawyers in large law firms to their large commercial and government clients has a significant effect on perceptions of the fairness of the legal system and the social responsibility of large corporations and government bodies. It is likely that this advice is shaped in part by the expectations, practices, and values of the clients, and in particular the client's in-house counsel. The commercial imperatives of the client could encourage lawyers to act in ways that attract public censure. At the same time the integration of ethical content into contractual arrangements has become a common practice in government contracts for legal services. Yet the extent to which clients attempt to contribute to ethical behaviour is virtually unknown. This paper presents data gathered through interviews with in-house counsel for large commercial and government clients. It considers their perceptions of the ethics of their large law firm lawyers. It also examines the extent to which they attempt to influence the ethics of their lawyers and their assessment of the effectiveness of these attempts. We find that in house counsel select external lawyers according to their "cultural fit" with the client. The relationship is then a sustained one with the in house counsel actively monitoring the activities of the external lawyers to ensure that they are consistent with the ethical priorities of the client.

  • Pages : 285 pages

Download or read book What Do Lawyers Do written by John Flood and published by Quid Pro Books. This book was released on 2013-10-17 with total page 285 pages. Available in PDF, EPUB and Kindle. Book excerpt: A legal scholar and sociologist, John Flood spent years observing a large law firm from the inside--much like an embedded journalist, but with the perspective of a researcher on the theory and practice of legal organizations. What John Flood found and analyzed resulted in a study that has been cited by many scholars over the years as the ultimate account of the inner workings of a corporate law firm, including its relations with clients, employees, and the broader profession. Further, using four detailed case studies, he showed how the construction of legal information and problems depended heavily on the role and specialization of the lawyer and the power of the client. Now in its Second Edition, with updated references and account of the radical shifts in legal practice over the past few years in the U.S. and U.K., Flood's pathbreaking book continues to be a fascinating resource for scholars of the legal profession, as well as interested readers who want to see exposed the inner sanctum of private, big-money law practice. The new edition also adds a new, reflective introduction by Lynn Mather, the SUNY Distinguished Service Professor at the University at Buffalo. A classic resource from Quid Pro Books is now readily available worldwide, in print and ebook formats, for scholars, researchers, lawyers, and other interested readers.
