Book Corporate and Trust Structures

Download or read book Corporate and Trust Structures written by David Chaikin and published by Australian Scholarly Publishing. This book was released on 2018-04-05 with total page 217 pages. Available in PDF, EPUB and Kindle. Book excerpt: Corporate and Trust Structures: Legal and Illegal Dimensions is a collection of essays by experts in company law, trusts and financial crime. It explores the nature of companies and trusts, how they have been utilised for legitimate business purposes, and how they can be exploited by criminals for illegal purposes. Basic concepts relating to trusts and companies are considered, together with recent developments in corporate liability, including when liability may be attributed to companies and when the veil of limited liability may be lifted. Complex corporate structures, including the ownership structure of the Alibaba Group, are examined. The Panama Papers’ revelations are also discussed together with the mechanisms within trusts and company structures that make them vulnerable and attractive for criminal abuse. The essayists address critical issues in the domestic and international contexts, including the requirements of the international standards against money laundering relevant to trusts and companies. Academics, lawyers, business people and policy-makers will find the essays topical and relevant.

Book Corporate Trust Administration and Management

Download or read book Corporate Trust Administration and Management written by Robert I. Landau and published by . This book was released on 1985 with total page 448 pages. Available in PDF, EPUB and Kindle. Book excerpt: A comprehensive revision of the edition published in 1984, Corporate Trust Administration and Management, Fourth Edition is a completely up-to-date reference on the current practices and processes in the corporate trust function of financial service institutions, and on the emergent trends in trustee and related agency activities and responsibilities. Robert Landau thoroughly examines and analyzes the duties and responsibilities of the indenture trustee in connection with debt financing instruments of corporate and municipal entities, the administration of the indenture contract or other agreement under which the securities are issued, and the procedures and practices incident to the servicing of the debt securities. This edition incorporates the major developments and dramatic changes in capital markets that have occurred since 1984, including enactment of the Trust Indenture Reform Act of 1990 and SEC Rule 144A. Detailed in this volume are the dramatic increases in the securitization of assets and the use of asset-backed collateral and credit-enhanced financings, and the potential effect of significantly increased secondary market disclosure on trustees. Landau also discusses the emergent problems surrounding the payment of indenture trustee's fees in bankruptcy proceedings, as well as the increasing trend toward the immobilization of securities certificates and the relevant judicial decisions significantly affecting the liability of corporate trustees. Covered in this book are the three principle areas of account administration: indenture contracts, indenture defaults, and all subsequent actions, difficulties, and resolutions. This edition also addresses the management function of a corporate trust department including planning, organization and structure, training and development, and performance planning and evaluation. A separate reference section includes the complete text of the Trust Indenture Act of 1939, as amended by the Trust Indenture Reform Act of 1990, an expanded set of useful forms, check sheets and sample documents, a bibliography of selected reading and reference material, and an extensive glossary of securities industry words and terms. Corporate Trust Administration and Management is not only an excellent study of corporate trust matters but a very useful reference guide, as it deals on a highly practical basis with the problems a financial services institution acting in a trustee or agency capacity is likely to face, and clearly outlines the rights and responsibilities of the trustee, the agent, and the issuer and holder of debt securities. This essential book continues to be the basic textbook and reference work for practitioners in the corporate trust field and those involved in securities industry matters.

Book Taxes and Ownership Structure

Download or read book Taxes and Ownership Structure written by E. Philip Jones and published by . This book was released on 1984 with total page 52 pages. Available in PDF, EPUB and Kindle. Book excerpt: This paper investigates the effect of taxes on the equilibrium ownership structure of productive assets. Ownership structure includes the traditional choice between debt and equity financing, but also the larger choice between corporate and partnership forms. A key feature of these alternative forms is that corporations are subject to taxation at both the corporate and investor levels, whereas partnerships are not. At the same time, depreciation and interest tax shields are taken at the corporate tax rate for corporate assets and at investors' tax rates for partnership assets. We find that assets endowed with excess non-interest tax deductions are best held in partnership form by high tax bracket investors. Assets whose allowed deductions are low enough to generate a net tax liability in corporate formare best held as partnerships by low tax bracket investors. All other assets are held in the corporate sector and are financed in a manner consistent with Miller's(1977) capital structure equilibrium. We argue that our analysis illuminates the tax aspects of such transactionsas mergers and sales or spin-offs of corporate assets to partnerships and royalty trusts. We also show that our results afford a simple characterization of the lease or buy decision.
