It was not necessary that plaintifl"s offer should be reduced to writing before it was accepted. If, in the course of the correspondence between the parties, written evidence is found, which shows the terms of the contract, it is immaterial in what order such evidence proceeds. The mischiefs which the statute was intended to prevent are avoided, if at any time, and in any form or order, there is such memorandum of the sale made as is required. If a verbal offer is reduced to writing after it is accepted, it is sufiicient. A memorandum in writing will be as effectual against perjury, although signed subsequently to the making of a verbal contract, as if it had been executed at the moment when the parties consummated their oral agreement. It has been sometimes doubted whether it might not be reduced to writing after action brought, upon the ground that the statute only meant to secure written evidence of the contract. Browne on the Statute of Frauds, (3 ed.) 352, a. A note or memorandum in writing of an oral contract, is essentially different from a written contract. Excerpt: ... the defendant was in possession of the premises, or any part thereof at the time of the commencement of the action. All the evidence as to both points was left to the jury, with instructions as to the facts necessary to constitute a disseizin. The counsel for the demandants requested the Chief Justice, who presided at the trial, to instruct the jury that, the recording of the defendant's deed a short time before the action was commenced, with his aforesaid declarations as to his fence, were suflicient evidence of his being in possession when the action was commenced, unless said evidence was in some way explained or contradicted. But the Judge declined giving such a definite instruction. The jury returned a verdict in favour of the defendant, in the following words: " The jury find "that the defendant has held quiet possession of the demand" ed premises for more than 20 years at one time after the year " 1783. The jury further find for the defendant upon the " ground that he was not in possession of the demanded prem" ises at the time of the commencement of this action." "Mr. Al.: fled Lewis. Sir, if you will let Andrew C. Butler have one hundred dollars worth of oil cloths, and take back what he cannot sell at the same price he takes them, I will be responsible for what he may sell, August 15, 1836. Ebenezer Freeman." The oil cloths were delivered to Butler, and one point made in the defence was, that the plaintiff had been paid. To prove the payment the defendant introduced one Robinson, who testified, that after Butler returned from peddling out the oil cloths, the witness had a converSation with the plaintiff, who informed him that Butler had done well in carrying out the cloths, and had made enough, reckoning in the 'cloths brought back, to pay for the load and twenty-five or thirty dollars more; that the cloths he brought back were but a small part of the load; that Butler had made enough to save to himself twenty.five dollars, and desired to take another load; that the plaintiff doubted the propriety of letting him have another load on Freeman's order, but concluded to let him have one on certain conditions, and thought that Freeman would suppose himself liable for the second load. The witness on being. questioned by the de feadant as to the admissions of the plaintiff in that conversation, testified, "that he thought the plaintiff told him, Butler had paid him for what cloths he had sold and not brought back; was very confident he said so, but would not swear that he did say so." The plaintiff contended, that upon the testimony of Robinson, the jury could not legally return a verdict for the defendant on the ground that Butler had paid for the cloths. ' ' The mandate of 5, is not, as plaintiffs' counsel assumes, to proceed at such time as is prescribed in 527, but "in the manner" therein provided. The commissioners were justified in proceeding when, and as they did after notice to the town, upon petition of those interested, to cause the work to be done by an agent not one of themselves. That agent made his written contract for the work and filed a copy of it in the clerk's ofiice and the commis sioners certified to the assessors of Waterville the time when the contract was to be completed and the amount to be paid therefor. So far the proceedings of the commissioners were warranted by the authority which the act confers upon them, and if they had continued throughout to proceed in the manner provided in 27, c. 18, R. S. of 1857, which is identical with 28, c. 18, R. S. of 1871, the plaintiffs would have had no just cause of complaint. _ But our attention has been called to some irregularities in these proceedings which we deem fatal to the defendants' justification. The commissioners did not proceed in the manner prescribed-in said 27, when they issued the first warrant of distress May 2, 1871, the next day after the one fixed for the completion of the contract. It is not in the power of the agent appointed or the party with who_m he contracts, by finishing his work and procuring the allowance of his accounts within the time fixed for the completion of the contract, to hasten the day of payment. The town is to be notified when the contract is made, of the time fixed for its completion. We think the true construction of the statute is that the liability of the town to pay accrues only at the expiration of the time...
