Book excerpt: El Convenio de colaboración empresarial es una de las clases de mecenazgo incentivadas fiscalmente por la Ley 49/2002, de 23 de diciembre, de régimen fiscal de las entidades sin fines lucrativos. Este trabajo analiza los elementos esenciales de este negocio jurídico y su tributación. En él una empresa ayuda económicamente a una entidad no lucrativa o a un ente público para que realice un proyecto o una actividad de interés general a cambio de que aquélla difunda la ayuda recibida. Tres son los elementos esenciales de esta figura que se analizan detalladamente. En primer lugar, el subjetivo: quiénes pueden ser los empresarios, individuales o sociales, que colaboran y cuáles son las entidades no lucrativas que pueden beneficiarse de la ayuda, En segundo lugar, el objetivo: el proyecto o actividad que se va a fomentar; el tipo de ayuda económica que se puede recibir y en cuanto a la difusión de la colaboración quién puede realizarla y de qué modo. Finalmente, el aspecto formal que supone una cierta solemnidad en su celebración.Se trata de una figura intermedia entre la donación y la publicidad basadas, respectivamente, en la gratuidad y la onerosidad. En el Convenio el empresario colabora con ánimo de liberalidad sin pretender incrementar su facturación. Pero, al mismo tiempo, recibe un agradecimiento público que redunda en su imagen, prestigiándola, ante la sociedad. Por eso este estudio recoge las diferencias de los Convenios con estos dos contratos. Pero, también, se analizan las diferencias de los Convenios de colaboración empresarial de otras figuras jurídicas con las guarda cierta analogía por su carácter no lucrativo como son el comodato, los convenios administrativos del art. 47 de la Ley 40/2015, de 1 de octubre, de Régimen Jurídico del Sector Público y las subvenciones públicas.Esta obra recoge, además, el análisis de la regulación que han establecido algunas comunidades autónomas de los Convenios de colaboración empresarial.Isidoro Martín Dégano es Doctor en Derecho. Premio del Instituto de Estudios Fiscales a la mejor tesis doctoral de 1998. Profesor Titular de Universidad de Derecho Financiero y Tributario en la Facultad de Derecho de la Universidad Nacional de Educación a Distancia (UNED). Asímismo es Miembro de la Comisión de Expertos nombrada por la Conferencia de Consejos Sociales de las Universidades Españolas que elaboró, por encargo de ésta, el Informe denominado “Incentivos fiscales al mecenazgo y a la investigación en la universidad”.
