This is being undermined by ongoing corruption and an increasingly centralised state response to terrorism. Providing a nuanced assessment of democracy’s difficult road in Kenya, Burbidge discusses the independent role being played by widespread social expectations of corruption. Through tracking average views of the average person, it is possible to identify a threshold beyond which society suffers mutually reinforcing negative social expectations. Although a plethora of legal scholarship clearly affirms this contention, a thorough study on the particularly important question of the authority and duty of international commercial arbitrators to investigate a suspicion or indication of bribery or corruption sua sponte ¬– that is, on their own initiative – has been surprisingly lacking. This important book fills this gap, inter alia, by locating sua sponte authority in the position of arbitral tribunals in establishing the facts of a case and ascertaining and applying the applicable normative standards. In addition to providing a comprehensive examination of how the issue of bribery and corruption is dealt with in contemporary international commercial arbitration, the book also highlights the role of arbitrators in global efforts to combat transnational commercial bribery and corruption. This work analyzes that impact, focusing specifically on PMCs in Iraq since the fall of Saddam Hussein in 2003. Isenberg dissects their responsibilities, the friction that exists between contractors and military commanders, problems of protocol and accountability, as well as the problems of regulation and control that PMC companies create for domestic politics. Isenberg organizes his work thematically, addressing all facets of PMCs in the current conflict from identifying who the most influential companies are and how they got to that point, to the issues that the government, military, and contractors themselves face when they take the field. He also analyzes the problem of command, control, and accountability. It is no secret that PMCs have been the source of consternation and grief to American military commanders in the field. As they work to establish more routine protocols in the field, however, questions are also being raised about the role of the contractors here at home. But despite widespread interest, there remains considerable uncertainty about how exactly corporate governance should be defined and understood. In this important work, Marc Moore critically analyses the core dimensions of corporate governance law in these two countries, seeking to determine the fundamental nature of corporate governance as a subject of legal enquiry. In particular, Moore examines whether Anglo-American corporate governance is most appropriately understood as an aspect of 'private' (facilitative) law, or as a part of 'public' (regulatory) law. In contrast to the dominant contractarian understanding of the subject, which sees corporate governance as an institutional response to investors' market-driven private preferences, this book defines corporate governance as the manifestly public problem of securing the legitimacy – and, in turn, sustainability – of discretionary administrative power within large economic organisations. It emphasises the central importance of formal accountability norms in legitimating corporate managers' continuing possession and exercise of such power, and demonstrates the structural necessity of mandatory public regulation in this regard. In doing so it highlights the significant and conceptually irreducible role of the regulatory state in determining the key contours of the Anglo-American corporate governance framework. The normative effect is to extend the state's acceptable policy-making role in corporate governance, as an essential supplement to private ordering dynamics.
