En la primera se tratarán los problemas que plantea la responsabilidad penal de las empresas, no solo desde el aspecto positivo, es decir, cuáles son los presupuestos de esa responsabilidad sino, igualmente, desde el aspecto negativo, es decir en qué condiciones o circunstancias una empresa, inicialmente sometida a dicha responsabilidad, puede conseguir eximirse de la misma o, al menos, atenuar la responsabilidad. Así, veremos cuáles son los requisitos para que una empresa puede ser sometida a dicha responsabilidad, esto es, qué directivos o empleados de la empresa, en qué condiciones, deben de cometer cuáles delitos para que se genere la responsabilidad penal de la empresa y cuáles son los delitos que, en concreto, generan dicha responsabilidad. Analizados los presupuestos de la responsabilidad, estudiaremos los requisitos para que la empresa pueda ser eximida de dicha responsabilidad o, lo que es lo mismo, los requisitos que deben de cumplir los programas de cumplimiento normativo para que produzcan efectos eximentes de la responsabilidad penal de la empresa. Igualmente, analizaremos cuáles son los requisitos para que esa responsabilidad, si es que es no es posible que la empresa se exima de ella, al menos, se atenúa. Todo ello, analizando no solo la legislación legal vigente sino, igualmente, las interpretaciones doctrinales y jurisprudenciales que hoy en día se están haciendo de dicha legislación legal vigente. En la segunda parte se analizarán, en un primer lugar, los delitos específicos que el Código Penal regula como propios de los administradores de una empresa y, en un segundo lugar, los delitos que los empleados de la empresa más prototípicamente pueden cometer en el desempeño de sus tareas societarias.
