PMI., uno dei tratti di maggior rilievo sistematico della legge Capitali, che rende la disciplina della S.r.l. più appetibile alle start up, avvicinandola sul piano finanziario sempre di più alla Spa; emittenti di strumenti finanziari diffusi, la nuova disciplina dettata dall’art. 4 della legge prevede una serie di modifiche, abrogazioni, aggiunte, relative al T.U.F., al codice civile, alle disposizioni attuative del codice civile e al D.Lgs. n. 39/2010; eliminazione della responsabilità da prospetto del “responsabile del collocamento” (art. 93-bis, lett. d, T.U.F.), che apre un’interessante questione relativa ai suoi effetti: gli intermediari che partecipano all’operazione di offerta al pubblico e di collocamento sono sottratti da ogni forma di responsabilità o risultano comunque sempre applicabili i principi generali in tema di responsabilità del promotore e, soprattutto, di responsabilità precontrattuale? rappresentante designato e intervento in assemblea: il nuovo art. 135-undecies.1, T.U.F., consente di prevedere in statuto che l’intervento in assemblea e l’esercizio del diritto di voto avvengano esclusivamente tramite il rappresentante designato della società (“Shareholder Rights 2”); voti multipli e maggiorati: si tratta dell’innovazione che ha sollevato maggiori discussioni e alla quale sono dedicati due interventi, il primo indaga il tema sotto il profilo politico-economico, il secondo costituisce una guida essenziale per gli amministratori e i loro consulenti chiamati a discutere delle opportunità e dei rischi che la nuova disciplina offre/una sorta di bussola per comprendere se l’adozione del voto multiplo e del voto maggiorato possa essere benefica o meno per l’impresa che lo adotta; lista per la nomina del CDA presentata dal consiglio di amministrazione in scadenza di mandato, un tema che ha richiamato molta attenzione negli ultimi anni; oltre alla complessa disciplina contenuta nel nuovo art. 147-ter.1 T.U.F. vengono analizzati anche i problemi interpretativi che si pongono in alcune situazioni; SICAV e SICA in gestione esterna: con le misure di semplificazione introdotte dall’art. 16, la disciplina di tali organismi viene sempre più avvicinata a quella prevista per i fondi comuni d’investimento; l’articolo analizza le novità introdotte, focalizzandosi, in particolare, sulla procedura di approvazione dello statuto di SICAV e SICAF in gestione esterna e sul ruolo del consiglio di amministrazione nel contesto dei nuovi requisiti richiesti agli esponenti aziendali; art. 196-ter T.U.F. e disciplina degli impegni: al nuovo art. 196-ter T.U.F. sono dedicati due interventi che offrono un confronto con gli equivalenti istituti del diritto antitrust e del codice del consumo e analizzano ulteriori profili della nuova disciplina, soffermandosi su molte questioni specifiche, come ad esempio: il perimetro di applicazione del nuovo istituto, il contenuto concreto degli impegni, la riapertura del procedimento sanzionatorio; responsabilità delle autorità di vigilanza: la nuova norma (comma 6 ter, art. 24, legge n. 262/2005) inserisce, con riferimento al risarcimento del danno da parte delle Autorità di vigilanza una limitazione di tipo oggettivo che si affianca alla preesistente riguardante dolo e colpa grave dell’elemento soggettivo.

The 2019 World Development Report will study how the nature of work is changing as a result of advances in technology today. Technological progress disrupts existing systems. A new social contract is needed to smooth the transition and guard against rising inequality. Significant investments in human capital throughout a person’s lifecycle are vital to this effort. If workers are to stay competitive against machines they need to train or retool existing skills. A social protection system that includes a minimum basic level of protection for workers and citizens can complement new forms of employment. Improved private sector policies to encourage startup activity and competition can help countries compete in the digital age. Governments also need to ensure that firms pay their fair share of taxes, in part to fund this new social contract. The 2019 World Development Report presents an analysis of these issues based upon the available evidence.

We find that, in advanced economies, stronger planned fiscal consolidation has been associated with lower growth than expected, with the relation being particularly strong, both statistically and economically, early in the crisis. A natural interpretation is that fiscal multipliers were substantially higher than implicitly assumed by forecasters. The weaker relation in more recent years may reflect in part learning by forecasters and in part smaller multipliers than in the early years of the crisis.

The United States in particular, given that it effectively sets monetary and credit conditions for a significant portion of the global economy, needs to put in place policies that can better discourage, recognize, and curtail a credit boom, and ensure that systemically important financial institutions can withstand its unwinding.
