Book Modern Company Law for a Competitive Economy

Book excerpt: "This Consulation Document addresses the subject of annual general meetings (AGMs)...In principle at least, AGMs are the key mechanism for promoting transparency and accountability in the magement of company affairs. But in practice there is wide agreement that they do not usually achieve these objectives very satisfactorily. We therefore believe that it is important to take a fundamental look at the way in which the present law operates, and that we should not shrink from considering radical options. There are two approaches to this task. One is to abandon the requirement on public companies to hold an AGM, and for the law to provide other means of achieving its objectives; the other is to maintain the requirement to hold an AGM and to seek incremental improvements in the law. These are not mutually exclusive. This Consultation Document considers the issues in some detail." -- from the Introduction, p. 1.

Book Walk the Talk Shareholders Soft Engagement at Annual General Meetings

Download or read book Walk the Talk Shareholders Soft Engagement at Annual General Meetings written by Alix Auzepy and published by . This book was released on 2023 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: The right to ask questions and voice their opinions at annual general meetings (AGMs) represents one of the few avenues for shareholders to communicate directly and publicly with the firm's management. Examining AGM transcripts of U.S. companies between 2007 and 2021, we find that shareholders actively express their concerns about environmental, social and governance (ESG) issues in accordance with their specific relationship with the company. Further, they are also demonstrably more vocal about ESG issues at AGMs of firms with poor sustainability performance. What is more, we show that this soft engagement translates into a more negative tone which, in turn, results in lower approval rates for management proposals. Shareholders' soft engagement at AGMs is hence an effective way to "walk the talk".

Book Shareholder Participation and the Corporation

Download or read book Shareholder Participation and the Corporation written by James McConvill and published by Taylor & Francis. This book was released on 2020-09-10 with total page 330 pages. Available in PDF, EPUB and Kindle. Book excerpt: This study provides a fascinating, fresh analysis of the virtues of shareholder participation in the context of contemporary corporate governance. By applying recent empirical studies to human happiness, McConvill convincingly argues that shareholders, particularly individuals, should be included in the internal governance framework of public corporations and enjoy a direct participatory role in the corporation if they so choose. Recent studies have consistently shown that active participation is one of a limited number of factors that has a positive correlation with levels of personal happiness, however while disciplines within the social sciences have long considered the implications of these findings, legal scholars have failed to grasp their significance. Shareholder Participation and the Corporation addresses the dearth of literature currently available by exploring and evaluating the implications of empirical happiness studies in relation to corporate law and governance, focusing specifically on the role of the shareholder. It provides a compelling argument for those seeking to analyze shareholder participation in a different light.
