Excerpt: ...the vendor agrees to sell at a stipulated price if the vendee shall give notice of his intention to exercise his option within a stipulated period, and the vendee agrees, in the event of his giving notice to purchase the land and pay the stipulated price therefor. The result is that if the vendee exersises his option there is a binding bilateral contract for the sale of land from the time when the notice is given. Since the equitable conversion will result only from a contract for the sale of land it is obvious that the mere giving of an option will not work an equitable conversion. Since the rights of the vendor and vendee are contingent, it will follow that according to the doctrine of conversion the nature of the property, which is dependent upon those rights, will remain uncertain until the option is exercised. If the option is never exercised, then an equitable conversion will never take place. But upon the exercise of the option the obligation of the vendor becomes fixed, and according to the doctrine of equitable conversion the land is then converted into personalty in the hands of the vendor, and into realty in the hands of the vendee. The problem, however, is not so simple if the vendor dies pending the exercise of the option. Until the exercise of the option the vendor's heir is of course entitled, both legally and equitably, to the property as land. If, however, the vendee exercises his option, he, because of the principles of specific performance in equity, becomes equitably entitled to the land and can compel a conveyance on payment of the purchase price." Book excerpt: Excerpt from The Law Quarterly Review, 1885, Vol. 1 The existing law of England upon the subjects which I have at different times treated in this manner1 appears to me to be in the main thoroughly rational, and worthy of being thrown into a more satisfactory form, in order that its substance may be retained. The same remark might, I think, he made on many other parts of our law, and more particularly on those great branches of it which fall under the heads of the Law of Contracts and the Law of fi'rongs. The law of contracts, in particular, is in most of its departments admirably rational and equitable, though it exists in a form in which no one can understand it without the labour of years, which bears upon it in every direction traces of the gradual expansion of view and extension of old formulas to meet new facts which are so inter esting to the historical student, and so troublesome, not only to the legal practitioner, but also to his clients. I believe that it would be quite as possible to codify the law relating to contracts as to codify the criminal law, and I think that the advantages of such a code would be felt by every man of business in the country. In order to do so, however, it would be necessary in the first place to digest the existing law into one compact body, and it would be a great con venience, in carrying out such an undertaking, if certain parts of the law which are at ones most intricate and open to all sorts of objec tions could be repealed. Rep. 288," marks the present limit in the adaptation of established rules of law to needs of trade. In that case, the Supreme Court held that the handing over as collateral security of a distiller's receipt for whisky then stored in his bonded warehouse, was a sufiicient delivery to constitute a pledge valid against the distiller's trustee in bankruptcy," since no creditors had been in fact misled, and the goods, which it was impracticable to store elsewhere, were under the complete control of the Government." Government possession, however, while immune from disturbance before payment of the tax by the distiller," is rather in the nature of a joint custody over the warehouse with but incidental control over its contents, which may be terminated at any time by the distiller upon payment of the levy." But the Government, in this case, having neither issued receipts for the spirits nor attorned to the pledgee, had made no delivery, while the receipt of the distiller, as failing to restrain further acts of dominion by him, was not only invalid as a document of title but hazardous as a security." The decision of the principal case, therefore, must be based not upon the technical law of pledges, but upon the practical policy of enabling a release of capital for further production by giving effect to the established custom of a particular trade, and should be confined to the particular facts.
