As a result of the rampant scandals related to them, there have been voluminous academic efforts to explore their corporate governance, underpinned by agency costs. However, these studies have yet to examine the phenomenon from the perspective of venture capital and adaptive efficiency. During the last ten years, despite China’s remarkable progress in the development of its venture capital market, its domestic venture capital has been marginalized by American competitors. Given the different performance between them, the author contends that the corporate governance system of Chinese state-controlled listed companies has hampered the performance of the institutional factors which are responsible for the prosperity of American venture capital in Chinese venture capital markets. With the practice of American venture capital as the mirror, he empirically demonstrates that Chinese domestic venture capital lacks the four factors related to the success of their American counterparts: large and independent funding, application of incentive mechanisms, efficient exit channels, and a high risk tolerance level. More importantly, these defects as a whole are closely linked to the corporate governance of state-controlled listed companies. Considering the potential negative consequences on economic and social development, the author identifies policy reforms underway to harmonize agency costs and adaptive efficiency.

Global investment exits through initial public offerings accumulated two trillion US dollar and about 500 billion US dollar have been collected in private equity funds for future investments. These impressive numbers show how important private equity has become in the international financial sector and China has evolved to one of the biggest private equity markets in the world. This raises the question of who is in power in the Chinese market? Giants like Goldman Sachs, Blackstone or Carlyle dominate the international market. So how are the domestic Chinese private equity firms doing? When China first heard of private equity in the early-1990s, it was already one of the biggest investment markets in the West, mainly in America. Hence, American companies had nearly no competitors in China and made fortunes in this recently opened market. Nevertheless, domestic firms developed quickly and challenged foreign companies to a duel. This paper will be divided into two parts, firstly it will show the development of Chinese and foreign private equity companies and their shares on the Chinese market. The second part then will try to give an impression on possible reasons for the mentioned development. There won’t be any further explanations about private equity given in this paper, only if they are needed for deeper understanding of the context. However specific knowledge about private equity will not be needed since it won’t discuss specific features of it in detail. The aim of this paper is to answer the questions about how the market developed and the possible reasons for this.

Both VC-backed and non-VC-backed IPOs experience long-run underperformance; however, VC-backed IPOs perform significantly better. The higher level of underpricing and cost of going public for the VC-backed firms are consistent with the monitoring role of the VC. Finally, the fact that VC reputation is associated with lower underpricing is consistent with the reputational capital theory, which asserts that reputable VCs use their expertise and experience to minimize underpricing in order to preserve their reputational capital.

He examines which listed firms are more likely to choose private placement over SEO in refinancing; he looks into the controlling shareholder’s decision on whether or not to purchase privately placed shares; he investigates how the offer discount is determined; he calculates announcement periods for abnormal returns on private placements. Book excerpt: Existing literature suggests a strong relationship between a vibrant venture capital market and an active stock market: venture capital flourishes when venture capitalists can readily exit from successful portfolio companies through initial public offerings (“IPOs”), and IPOs are in turn facilitated by active and efficient stock markets. Despite being relatively new to venture capital investment, China's concerted government efforts have successfully engineered the second-largest venture capital market (by investment volume) in the world to date. China's economy has also undergone a drastic transformation from a planned to market economy in the last 20 years. Given these factors, does the positive correlation between an active stock market and vibrant venture capital market hold true in China? This article uses China as a case study to explore the connection between the stock market and venture capital market. It also seeks to identify major problems for venture capital-backed IPOs and to propose solutions. Through both empirical studies and extensive interviews, this article both confirms and refines the existing literature by demonstrating a close connection between the stock market and venture capital market in China. It also finds that, for venture capital availability, laws and policies indeed matter in China: strong and sustained law reforms and government policies aimed at improving the institutional structure and regulatory environment of the stock market can facilitate venture capital-backed exits, which in turn lead to an increase in new venture capital availability in China. Nonetheless, numerous IPO closures have led to freeze-ups in China's venture capital market. Also, there remain a multiplicity of institutional impediments to the efficient operation of the stock market and the effective implementation of IPO reforms in China. These may in turn hinder the development of the Chinese venture capital industry.

It has contributed significant impacts to the development of the high-tech industries and the overall growth of their national economies as well. The Chinese government has been well aware of the importance of venture capital and how it can support the growth and development in areas of science and technology. Therefore, since the mid-1980s, extra attention has been placed in the process of policy making in order to promote the development of the venture capital industry in China. With favorable policies and government support, both the high-tech and venture capital industries in China have experienced tremendous growth over the past decade. This dissertation first examines the historical development of the venture capital industry in China since the mid-1980s and cites all the relevant policies and regulations introduced by the Chinese government in its promotion for the high-tech and venture capital industries. It then looks into some of the unique operational characteristics in the venture capital industry in China and how they are affecting the - ii - overall development of the industry. The immediate section then compares the operational characteristics between foreign and domestic venture capitalists in China by means of case studies. The last section of this dissertation evaluates the facts and figures presented and formulates several improvement recommendations based on the current venture capital market environment and the set of unique characteristics within the industry.
