It examines shareholder communications from two perspectives: communications between a corporation and its shareholders, and communications among the shareholders themselves. Issues considered in the paper include whether the Act should be amended to require intermediaries such as brokers to provide share issuers with lists of beneficial shareholders; whether to amend the Act concerning record dates and other matters related to annual meetings; whether the Act should specify voting right entitlement for loaned shares; harmonization of rules governing mandatory solicitation of proxies; and amendment of the Act's dissident proxy solicitation rules.
