This book was released on 2000-12-15 with total page 228 pages. Available in PDF, EPUB and Kindle. Book excerpt: This volume continues the inquiry launched by the Royal Society of Canada's 1997 publication, "Can Canada Survive? Under What Terms and Conditions?", and pursued in the 1998 volume, "The Well-Being of Canada", and the 1999 volume "Survivability in the 21st Century" (all published by the University of Toronto Press). The present collection examines the challenges of governance in our new century. Eight papers, given by experts in their respective fields, call for an examination of the governance of organizations per se, whether one probes the crises in the experience of large corporations, in education, in health care, in science and technology systems, or in military affairs. This volume underlines the dramatic changes taking place in our time and stresses the urgent need for new thinking and the need to reform our governance mechanisms in order to keep pace with our changing world.

Download or read book Schemes of Arrangement written by Jennifer Payne and published by Cambridge University Press. This book was released on 2014-06-26 with total page 459 pages. Available in PDF, EPUB and Kindle. Book excerpt: Schemes of arrangement are an important and flexible mechanism, which can be used to reorganise a company's capital. They have undergone something of a renaissance since the global financial crisis, particularly as a debt restructuring device, since effective tools were needed to deal with financial distress. Schemes have also become the mechanism of choice for recommended takeovers. In order to understand their current popularity, this book examines the use of both member and creditor schemes, and compares their advantages and disadvantages to the alternatives that are available. It performs a critical, contextual and comparative analysis of schemes and their uses, and puts forward reform proposals that are designed to ensure that schemes continue to develop as an indispensable tool for companies for the future.

Download or read book Corporate Governance and Statutory Derivative Actions written by Lang Thai and published by Taylor & Francis. This book was released on 2023-09-22 with total page 240 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book is the first comprehensive study of the statutory derivative action in Australia, using the Australian model as a reference point and comparing it with the UK, Canada, Singapore, New Zealand, Hong Kong and USA counterparts. The book includes an empirical study covering over a twenty-year period from the date the statutory framework came into operation, coupled with extensive case law analysis and comparisons with other jurisdictions. It informs the world about the uniqueness of Australia’s statutory derivative action, and what other countries can learn from it as shareholder protection and promotion of good corporate governance. While some countries have statutory derivative action, there are still countries that do not have the statutory framework that are considering introducing it into their corporate law. This book provides insights and suggestions for lawmakers, litigation practitioners and researchers worldwide in reforming their existing model.
Download or read book Money on the Line written by Canadian Centre for Policy Alternatives and published by Canadian Centre Policy Alternatives. This book was released on 2003 with total page 273 pages. Available in PDF, EPUB and Kindle. Book excerpt: From the back cover: The billions of dollars in Canadian pension funds belong to the workers for whom these funds were established. The money, in effect, is their "deferred wages", but, even though these vast sums now constitute the largest source of capital in the country, it has only been in the past few decades that workers, through their unions, have started to play a role in how, when and where their pension money is invested. This informative and fact-filled book examines the growing involvement of labour organizations in the management--and more often the co-management--of pension funds. It looks at the duties and rights of union trustees on pension boards, at their "fiduciary responsibility", at the crucial issues of social and ethical investments--and it also explains the success of progressive labour-sponsored investment funds.
Download or read book The Constitutional Corporation written by Stephen Bottomley and published by Ashgate Publishing, Ltd.. This book was released on 2007 with total page 200 pages. Available in PDF, EPUB and Kindle. Book excerpt: Corporate laws are based on the idea that the interests of shareholders should be the primary concern of company directors. However, some argue that the proper role for shareholders is to sit back and let the corporation's managers do their job, or that the pursuit of shareholders' interests detracts from the concerns of employees or victims of corporate wrongdoing or other stakeholders. Stephen Bottomley argues that instead of consigning shareholders to this passive role, they should be given opportunities to be active members of corporations. Corporations are constitutional arrangements rather than mere contractual agreements. They are decision-making organizations in which questions of process and structure are important. Thus, instead of using economic criteria such as efficiency as the sole measure for deciding what constitutes 'good' corporate governance, this book examines whether ideas of accountability, deliberation and contestability provide a valuable framework for assessing corporate structures and process and for encouraging greater shareholder participation.

Download or read book Internal and External Aspects of Corporate Governance written by Ahmed Naciri and published by Routledge. This book was released on 2009-10-16 with total page 365 pages. Available in PDF, EPUB and Kindle. Book excerpt: An effective system of corporate governance has both internal and external aspects that have to be sufficiently responsive if governance is to succeed. In this book, Ahmed Naciri examines these two core aspects or the latest buzzword in business and management theory. Internal aspects include ownership structure, the board of directors and committees, internal control, risk management, transparency and financial reporting. External aspects can either be market-oriented, or can take the form of credit ranking, and/or social requirements. Due to the original orientation of the Sarbanes/Oxley Law, concentrating solely on financial disclosure and given its decisive and tremendous influence on all other similar corporate governance legislations all over the world, most writings on corporate governance have dealt with solely internal corporate governance mechanisms. This book aim is to fill up the gap by using a systemic approach and giving a global picture of the corporate governance theoretical foundations, mainly by putting the emphasis on its double dimension: internal and external.
