Since the late 1990s, liberalisation and privatisation have replaced state-owned monopolies at both the national and local level, new technologies have created a broad range of new opportunities for power generation and distribution, and a redesigned public policy agenda has brought to the fore a whole set of new priorities. In this fast-changing environment, firms have redrawn their strategies, redesigned their business architectures and models, invested in infrastructure and R&D, taken advantage of growth opportunities at home and abroad, opened up their ownership structure, revised their offerings, and developed a new approach to customers. As a result, a radically altered market structure has emerged. As the sector tackles the overriding challenge of sustainability and energy transition, the book takes stock of such past and ongoing developments through the direct testimonies of various stakeholders: the companies in the energy, water, and waste management sectors that are at the forefront of this sweeping transformation; regulators; financial partners; and management consulting firms. The diversity of perspectives and wealth of information presented make this book a valuable resource for anyone wanting to grasp the direction, intensity and causes of change, as well as the nature of the challenges that lie ahead. Book excerpt: Stemming from different theoretical perspectives the article examines the conflicts of interest arising among the actors (citizens, local governments, private shareholders, service providers) that at various levels are involved in local public utilities governance systems. The main results of a multiple case study analysis on 10 Italian listed local public utilities are summarized. Different and coexisting situations of conflicts of interest among multiple principals and agents are identified. In this context, governance mechanisms (e.g., the board of directors) have different roles and functions and may prevent and mitigate such conflicts. However, our findings suggest that the ownership structure influences board composition and functioning and that higher numbers of independent directors do not necessarily mean “actual” board independence. The article contributes to the debate on conflicts of interest and governance mechanisms in local public utilities.

It is an internal mechanism that controls and monitors the actions of managers and aligns the utility functions between corporate owners and managers. The board of directors performs multiple functions that concern, for example, the replacement of the managers, financial policy, the preparation of strategic plans and other actions that affect the performance of the company. The board plays an important role since on the one hand it controls the actions of management and on the other it advises the management regarding the strategies to be adopted. In this study, 100 announcements regarding the appointment of the board of directors of 100 Italian listed companies during the period 2012-2014 are investigated. The results show a positive reaction within 20 days around the announcement date. In four of the six time windows, cumulative abnormal returns (CARs) are positive and statistically significant. The positive reaction of the market would appear, however, to be linked more to the composition of the board of directors than to the size of the board of directors.
