Book excerpt: Based on agency theory, the importance of Corporate Governance (CG) is to reduce agency conflicts between those who control and those who own the residual claims in a firm. In other words, CG as a mechanism helps to align management's goals with those of the stakeholders that are to increase firm performance. Since, the value creation of CG can be measured through the firm performance; the aim of this study is to answer this question: "Is there any relationship between CG and firm performance?" Therefore, the four board characteristics that are of interest in this study are board independency, CEO duality, ownership structure, and board size. Based on a randomly selected sample of companies listed on Bursa Malaysia and applying the linear multiple regression as the underlying statistical tests, it is found that CEO duality has a negative relationship with firm performance (Return on Equity and Return on Asset) but there is no significant relationship between board independency, board size and ownership structure as independent variables and firm performance as dependent variable.

We use both financial and non-financial variables to develop a conceptual framework. Board characteristics considered include board size, director ownership, CEO duality, gender diversity, educational qualification of board members and number of board meetings. Additionally, we use board size as a moderating variable. Firm performance is measured by ROA. We test our hypotheses on a longitudinal sample of 156 firms over a four-year period from 2004 to 2007, using GLS analyses. The findings show that board size, CEO duality and gender diversity were positively related with firm performance, where as director ownership, board meetings and the number of board members with PhD level education were found to be negatively related. Board size was found to be moderating some of these relationships. Our findings underscore the need for theoretical pluralism to gain insights into boards functioning. They also help firms in designing their boards and scholars to identify the contingency conditions relating to the board characteristics and firm performance.

Book excerpt: Boards of directors are coming under increasing scrutiny in terms of their contribution in monitoring and controlling management, particularly in the wake of high-profile corporate frauds and failures, and also their potential to add value to organizational performance through involvement in the strategy process and through building relationships with key investors. Despite the importance of these issues, not only to organizations but also arguably to national competitiveness, the nature of board activity remains largely a black box, clouded by prescriptions, prejudices, and half-truths. This book responds to calls for greater scrutiny of boards of directors with an in-depth examination of directors of UK organizations, drawing on the accounts of directors themselves as to their roles, influence, and the potential and limits to their power. Much work on boards of directors has labelled the board as a rubber stamp for dominant management, and non-executive directors in particular have been variously described as poodles, pet rocks, or parsley on the fish. Such accounts are rooted in assumptions of board activity that are essentially adversarial in nature, and that the solution to the 'problem' of reconciling the interests of managers with those of shareholders is to increase the checks and balances available to the board of directors. The findings of this study show that boards, in many cases, are far more than passive rubber stamps for management and that non-executives are encouraged to act as trusted advisers to the executives and the chief executive, rather than solely monitors of executive activity. Boards are important mechanisms in maintaining the strategic framework of the organization through setting the boundaries of organizational activity. The potential of the board members, in particular the non-executives, to fulfil such a mandate depends on a number of factors, including ability, willingness to engage with the organizational issues, and the degree of knowledge they have relevant to the host firm. Above all, the degree of trust built between members of the board, and between the board and key external constituencies, is at the heart of effective board behaviour.

Book excerpt: This study attempts to examine the impact of prior and current firm performance on board composition as it is the least explored issue in the corporate governance area. For this purpose, our analysis covers a large sample of the Indian manufacturing firms for the period 2001-2010. We utilize a range of measures of firm performance such as Return on Assets, Return on Equity, Net Profit Margin, Adjusted Tobin's q and Stock Returns in the analysis. We also use a range of alternative measures of board characteristics like board size, independence and meetings in the estimation process. The results of the study show that firm performance has a negative impact on board characteristics. Findings of the study also indicate that the larger board, outside membership and more meetings are considered as expensive affairs in the firm. Our findings in this study are expected to generate further debate on the related issue and sensitize the scholars to reason further research in this area especially in context of developing countries.

The research consisted of examining companies listed on the Palestine Exchange with analysis undertaken through regression analysis. After studying the six variables, the researcher found the existence of only one relationship which was between the age of the organization/year of incorporation and the company's Return on Assets (ROA). This paper provides a greater insight to understanding corporate governance in Palestine. The approach, taken in this paper, will enable companies to assess the true relationship between the Return on Assets to Board independence, Board meeting, Board size, Board expertise, Company size and Company year of incorporation. It will enable them, also, to find ways of ensuring these factors become more relevant to the organization's performance. Palestine is still a young country in relation to corporate governance and the outcome of this paper will enable companies to grow positively.

Prior research suggests that boards of directors play a critical role in monitoring non-financial companies in Thailand. However, it is possible that board characteristics are not important in the life insurance industry due to the nature of business and the effect of government regulations, both of which limit managerial discretion. Empirical evidence indicates that board composition has a positive relation to profitability and a negative relation with the risk-taking behavior of life insurance firms. Board size does not have any relation with firm performance. By documenting the impact of board characteristics on firm profitability and risk-taking behavior among life insurers, this study shows that board composition can still be beneficial even for firms with limited managerial discretion. The results add insight on the relation between monitoring mechanisms and firm performance of life insurers in an emerging market.
