Download or read book Insider Trading The Laws of Europe the United States and Japan written by Emmanuel Gaillard and published by Springer. This book was released on 1992-02-10 with total page 494 pages. Available in PDF, EPUB and Kindle. Book excerpt: Regulation of insider trading has changed dramatically in the past few years. In reaction to highly publicized insider trading scandals and the internationalization of securities markets, all European countries have recently either strengthened their existing rules (France and the United Kingdom) or implemented new rules (Denmark, Greece, The Netherlands, Belgium, Ireland, Spain, Portugal, Luxembourg, and Italy). The United States continues to refine its insider trading regulations, and Japan has recently enacted legislation in this field. As a result of the increasingly international nature of insider trading, supervisory authorities throughout the world now closely coordinate their efforts. Drawing from the experience of law professors, governmental officials and practising lawyers, this book explores the regulations of eighteen countries in Europe, the United States and Japan, as well as the EC Directive Coordinating Regulations on Insider Dealing, and the Council of Europe's Convention on Insider Trading. This book is an indispensable tool for practising lawyers, legislators, academics, and international business and finance professionals. Combining legal doctrine and practical information, it analyzes, for each legal system, how insider trading is defined and controlled. Further, it addresses other stock-related infractions and international law issues such as jurisdiction and international cooperation.

Download or read book The outsourcing of legal services written by Singh Dharamveer and published by Éditions Larcier. This book was released on 2015-10-27 with total page 241 pages. Available in PDF, EPUB and Kindle. Book excerpt: Economic globalization is transforming practically every service sector. The legal industry that has long remained insulated too has not remained untouched by the effects of globalization. The outsourcing of legal services in the past one decade has transformed the legal landscape. Legal outsourcing to India is becoming increasingly popular among U.S. and European law firms and corporations. This book broadly seeks to discuss three main topics surrounding legal process outsourcing (LPO): its emerging trends, the legal challenges it raises and the hitherto unrecognized potential it holds. Firstly, this book clarifies concepts of LPO and its operating models practiced by U.S. and U.K. law firms and corporations. Secondly, the outsourcing of legal services creates significant challenges for ethics rules including conflict of interests, attorney-client privilege, supervision and fee sharing. Thirdly, this research explores the hidden potential of LPO to improve access to justice. This book develops an altogether new proposal where Indian LPO professionals could help alleviate the access to justice problem among indigent and low-income populations of the United States.

Download or read book Contract Law in Japan written by Hiroo Sono and published by . This book was released on 2019 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: Derived from the renowned multi-volume International Encyclopaedia of Laws, this practical analysis of the law of contracts in Japan covers every aspect of the subject - definition and classification of contracts, contractual liability, relation to the law of property, good faith, burden of proof, defects, penalty clauses, arbitration clauses, remedies in case of non-performance, damages, power of attorney, and much more. Lawyers who handle transnational contracts will appreciate the explanation of fundamental differences in terminology, application, and procedure from one legal system to another, as well as the international aspects of contract law. Throughout the book, the treatment emphasizes drafting considerations. An introduction in which contracts are defined and contrasted to torts, quasi-contracts, and property is followed by a discussion of the concepts of 'consideration' or 'cause' and other underlying principles of the formation of contract. Subsequent chapters cover the doctrines of 'relative effect', termination of contract, and remedies for non-performance. The second part of the book, recognizing the need to categorize an agreement as a specific contract in order to determine the rules which apply to it, describes the nature of agency, sale, lease, building contracts, and other types of contract. Facts are presented in such a way that readers who are unfamiliar with specific terms and concepts in varying contexts will fully grasp their meaning and significance. Its succinct yet scholarly nature, as well as the practical quality of the information it provides, make this book a valuable time-saving tool for business and legal professionals alike. Lawyers representing parties with interests in Japan will welcome this very useful guide, and academics and researchers will appreciate its value in the study of comparative contract law.

Download or read book Central Bank Regulation and the Financial Crisis written by Miao Han and published by Springer. This book was released on 2015-10-20 with total page 337 pages. Available in PDF, EPUB and Kindle. Book excerpt: The respective legal frameworks that control central banks are shaped by whether they are market oriented or government controlled. However such stark distinction between these two categories has been challenged in view of the varying styles of crisis management demonstrated by different central banks during the crisis. This book uses comparative analysis to investigate how the global financial crisis challenged the role played by central banks in maintaining financial stability. Focusing on four central banks including the US Federal Reserve System, the Bank of England, the Bank of Japan and the People's Bank of China, it illustrates the similarities between the banks prior to the crisis, and their similar policy responses in the wake of the crisis. It demonstrates how each operated with varying levels of independence while performing very differently and facing different tasks. The book identifies some central explanatory variables for this behavior, addressing the mismatch of similar risk management solutions and varying outcomes. Central Bank Regulation and The Financial Crisis: A Comparative Analysis explores the legal challenges within central bank regulation presented by the global financial crisis. It emphasizes the importance of, and the limitations involved in, legal order and argue that in spite of integration and globalization, significant differences exist in central banks' approaches to risk management and financial stability.
